When a conflict of interest or the appearance of a conflict of interest occurs, individual board and board committee members will: 1. Disclose the possible conflict of interest to the board of directors 2. Withdraw from discussions about a conflict of interest issue 3. Abstain from voting about (board) or recommending (board committee) a conflict of interest issue 4. Determine the possible conflict of interest with the board and determine steps to deal with the conflict. The board of directors will: a. Give feedback to the individual board/board committee member about the possible conflict of interest b. Decide if any steps are needed by the board of directors as a whole. The board as a whole, will determine whether a conflict of interest or the appearance of a conflict of interest exists.

The board of directors negotiated compensation with the executive director taking her education and experiences into consideration. Reach-up's wage scale was also utilized in determining the executive director's compensation. A letter from reach-up's board of directors to the executive director is in the personnel file documenting the annual salary and benefits. The process was last completed in 2022.
