Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall consist of the chair of the board of directors, the vice chair, the secretary, the treasurer, chief executive officer, the immediate past chair of the board of directors, and two additional non-officer members of the board of directors appointed by the board of directors to staggered two year terms. Five members of the executive committee shall constitute a quorum and action shall be by at least 80% of the members present. The chair of the committee shall report any actions of the committee to the board of directors at the next meeting of the board. The committee shall review and evaluate risks to the corporation, review details of strategic objectives, review the performance of the president and chief executive officer, and review, consider, and approve management policies and procedures including state and federal regulations and bring recommendations, evaluations, and solution as appropriate to the board of directors for approval. The executive committee shall have the authority to exercise the power of the board of directors on such matters as are delegated by the board of directors to the executive committee. The executive committee shall have the authority to retain legal counsel to advise the board of directors as may be necessary.

The audit committee of opportunity partners reviews the form 990 before it is submitted each year. The board of directors receives and accepts the form 990 each year.

Annually opportunity partners requires all board members and other key individuals to sign an annual statement of disclosure and agreement to comply with the opportunity partners' policy on conflict of interest. Annually an internal audit is performed to ensure compliance with the policy.

Opportunity partners utilizes published, independent benchmark salary surveys and relevant form 990 data from other nonprofits for determining staff compensation. Financial Statement Notes

PART V, LINE 4:

The goals and objective of opportunity partners endowment fund are to invest contributions according to donor wishes, maintain purchasing power of the fund, and provide a stable source of income to be applied (spent) as designated by the board of directors. The spending policy states that the board will designate each year how unrestricted earnings will be spent. Spending is not intended to be for general operating purposes, but instead will be used for projects designated by the board. Restricted earnings will be spent as directed by the donor.

PART X, LINE 2:

In accordance with the accounting standard on accounting for uncertainty in income taxes, the organization addresses the determination of whether tax benefits claimed on a tax return should be recorded in the financial statements. Under this guidance, the organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merit of the position. Examples of tax positions include the tax-exempt status of the organization and various positions related to the potential sources of unrelated business taxable income. There were no unrecognized tax benefits identified or recorded as liabilities during 2013 and 2012. Open tax years subject to examination by the u.s. And state taxing authorities are for the years 2010 to 2013, which statues expire in 2014 to 2017, respectively.

AT A TIME WHEN MANY PEOPLE WITH DISABILITIES WERE INSTITUTIONALIZED IN STATE HOSPITALS, THE ORGANIZATION PROVIDED A PLACE WHERE PEOPLE COULD HAVE THE OPPORTUNITY TO LEARN JOB SKILLS AND EXPERIENCE THE SENSE OF PRIDE THAT COMES FROM EARNING A PAYCHECK. IN 1959, OPPORTUNITY PARTNERS BECAME THE FIRST SERVICE PROVIDER IN THE TWIN CITIES TO PLACE PEOPLE WITH DISABILITIES WITH EMPLOYERS IN THE COMMUNITY. OPPORTUNITY PARTNERS HAS GROWN OVER THE YEARS TO SERVE NEARLY 2,000 INDIVIDUALS IN 2013 AT HUNDREDS OF JOB SITES, RESIDENCES AND COMMUNITY SETTINGS THROUGHOUT THE GREATER TWIN CITIES METROPOLITAN AREA.OPPORTUNITY PARTNERS PROVIDES SUPPORT TO A WIDE RANGE OF INDIVIDUALS FROM TEENS WITH FETAL ALCOHOL EFFECT TO ADULTS RECOVERING FROM STROKE TO SENIORS WITH DOWN SYNDROME. OPPORTUNITY PARTNERS RESPONDED ACCORDINGLY, ADDING STAFF TO MEET THE NEEDS OF A PROGRAM THAT TAKES PLACE PRIMARILY IN THE COMMUNITY.OPPORTUNITY PARTNERS IS ACCREDITED THROUGH CARF INTERNATIONAL, THE COMMISSION ON ACCREDITATION OF REHABILITATION FACILITIES. IN 2011, OPPORTUNITY PARTNERS WAS REACCREDITED FOR A PERIOD OF THREE YEARS FOR ITS EMPLOYMENT AND COMMUNITY SERVICES PROGRAMS. THE LATEST ACCREDITATION IS THE SIXTH CONSECUTIVE THREE YEAR ACCREDITATION THAT THE INTERNATIONAL ACCREDITING BODY HAS AWARDED TO OPPORTUNITY PARTNERS.
