Mobilize the madison community to continuously improve, promote, and support madison public library. The vision is to equip madison public library with robust resources to deliver outstanding services, facilities, and programs that meet the madison community's needs.

The foundation promotes and supports services, facilities and programs of the madison public libraries and aids in developing a world class library system.

Additional Explanations

Family Relationships Between Officers

Robert stroud and nancy carpenter have a family relationship.

The Process Used by the Foundation to Review the Form 990

The finance committee reviews and approves the prepared form 990. An electronic copy of the return is sent to the members of the governing body followed by a presentation by the treasurer. Once approved, the return is filed with the irs.

Mointoring of the Conflict of Interest Policy

All directors are given a conflict of interest statement to complete and sign at the annual meeting which is generally held in october of each year. The signed conflict of interest statements are kept at the foundation's office. Any conflicts that require further investigation are reviewed by the executive director. A director with a conflict of interest may be asked to recuse himself/herself from the particular motion or consideration.

PROCESS FOR DETERMINING THE EXECUTIVE DIRECTOR'S COMPENSATION

The human resource committee, a subcommittee of the board of directors, meets annually to review performance and recommends salary adjustments. The executive committee approves the recommended adjustments.

The foundation makes its governing documents, conflict of interest policy and financial statements available to the public upon request.

SIGNIFICANT CHANGES TO THE FOUNDATION'S GOVERNING DOCUMENTS

Change to Article II. Board of Directors, Bylaw 2.02. Number, Tenure and Qualifications: Beginning October 1, 2008, the term of office served by a director shall be limited to two (2) consecutive three-year terms (that is, six years), with at least a one (1) year gap between periods of Board service. The length of the term of service shall be extended for directors who are elected to serve as officers for as long as they continue to serve as officers.

Financial Statement Notes

Part X

The organization's income tax filings are subject to audit by various taxing authorities. Open periods subject to audit for federal and wisconsin purposes are generally the previous three and four years of tax returns filed, respectively. There were no interest or penalties recorded for the year ended december 31, 2013.

The foundation's endowment funds are intended to be used for operating reserves, to support branch operations, for print books and to provide scholarships.
