Governance Explanations

Form 990, Part VI, Section B, line 11B

The president and vice president review the form 990 before it is filed.

Form 990, Part VI, Section B, line 12

Review of the conflict of interest policy is not done annually. When a new member joins the board, the president will ask them to disclose any conflicts of interest, as well as notify us if any conflicts arise while serving their term. If a conflict arises, the board member must recuse themselves from voting on the matter.

Form 990, Part VI, Section B, line 15

The board's compensation committee reviews the base salaries of the president and two vice presidents. They then make adjustments as they see fit. The board uses comparative salary data from other mep centers, as well as other sources including american small manufacturing coalition. The last review took place on september 3, 2015.

Form 990, Part VI, Section C, line 19

Financial statements are filed on site and available on request; company policies are addressed in the organization's policy handbook.
