Governance Explanations

Form 990, Part VI, Section B, Line 11

The president and vice president review the form 990 before it is filed.

Form 990, Part VI, Section B, Line 12

Review of the conflict of interest policy is not done annually. When a new member joins the board, the president will ask them to disclose any conflicts of interest, as well as notify us if any conflicts arise will servicing their term. If a conflict arises, the board member must recuse themselves from voting on the matter.

Form 990, Part VI, Section B, Line 15

The board's compensation committee reviews the base salaries of the president and two vice presidents. They then make adjustments as they see fit. The board uses comparative salary data from other mep centers, as well as other sources including american small manufacturing coalition. The last review took place on october 24, 2013. No changes were made; base annual compensation remained the same.

Form 990, Part VI, Section C, Line 19

Financial statements are filed on site and available on request; company policies are addressed in the organization's policy handbook.

Financial Statement Notes

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by the irs or other applicable taxing authorities. Management has analyzed the tax positions taken by the organization and has concluded that as of december 31, 2013 and 2012, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The organization believes it is no longer subject to income tax examinations for years prior to 2010.
