Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegate powers shall annually sign a statement which affirms such person: a. Has received a copy of the conflicts of interest policy, b. Has read and understands the policy, c. Has agreed to comply with the policy, and d. Understands the corporation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. To ensure the corporation operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic review shall be conducted. The periodic reviews shall, at a minimum, include the following subjects: a. Whether compensation arrangements and benefits are reasonable, based on competent survey information and the result of arm's length bargaining. B. Whether partnerships, joint ventures, and arrangements with management organizations conform to the corporation's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction.

The compensation of the director-general and key employees will be annually reviewed and agreed upon by the board, without undue involvement or input from the director-general. The board is tasked with reviewing the performance of the director-general and key employees, performing an annual review of the going rates for similar work at comparable organizations, and determining the level of compensation for the director-general and other key employees. Tpn is a non-governmental network that provides politicians, business, civil society stakeholders, academics, and other interested participants from both sides of the atlantic with opportunities to address both current transatlantic issues and future challenges. Its objectives are as follows: - to facilitate constructive dialogue at a strategic level between the eu and the us for all participants of the network; - to help this partnership adjust to new challenges and opportunities; to identify common interests and to reduce the scope for misunderstandings between the transatlantic partners, and to promote cooperation between eu and us governments; - to act as a communications mechanism for ideas on policy issues. Wherever possible, tpn works with established organisations and institutions, avoiding duplication and enhancing specific objectives. The transatlantic policy network (tpn) serves as a nonpartisan educational network whose overall mission is to educate individuals, academic institutions, businesses, political figures and the public at large about the benefits of a partnership between the united states (us) and the european union (eu). The tpn explores ways to deepen transatlantic relations and bring together stakeholders to educate one another about the benefits of transatlantic partnerships in various aspects. The tpn does not conduct any lobbying. Its goal is to educate and share ideas about the mutual interests, challenges and issues that impact for the us and the eu. The united states and the european union maintain the closest strategic partnership in today's world, based on joint interests, strong cultural ties, and shared values. Both sides remain each other's indispensable partners and allies on a host of political, security, and other challenges, from international terrorism and climate change to conflicts in europe and the middle east, the promotion of human rights and the rule of law, and international development. The united states and europe also share the largest and most deeply integrated economic relationship in today's world economy, accounting for almost half of global gross domestic product (gdp) and nearly a third of world-wide trade flows. Both markets by a wide margin are each other's primary sources and destinations of foreign direct investment (fdi) flows, supporting an estimated 14 million jobs. There are few global challenges political, security, economic or otherwise that either transatlantic partner can address effectively by 'going it alone'. When both partners act together, cooperate, and coordinate, they are much better equipped to effectively address the problems they jointly face, from the security challenges in north africa and the middle east, to the threat emanating from terrorist organizations such as the islamic state and to addressing russian expansionism. Given the depth and breadth of economic integration and strong flows of goods and services across the atlantic, concerted us-eu leadership and cooperation also remains essential to solving many of the challenges confronting a changing global economy. With transatlantic data flows having become the backbone of the economies on both sides of the atlantic, us-eu dialogue and co-operation on data protection and privacy issues, cyber security, and shared standards for new products and services in the digital economy are ever-more important for citizens, consumers, businesses and governments in the united states and the european union. To this end, tpn has established a network of american and european decision-makers, with links to academia, politics, civil society, journalism and business. Together, the organization brings together individuals with interests in trade, foreign policy, security policy and other issue areas relevant to us-eu relations to engage in a constructive discourse through which a platform of ideas is established for educating one another about and/or addressing the issues that impact and affect the us-eu relationship. Broadly-based participation from individuals and organizations from a variety of backgrounds and sectors is encouraged to ensure that the discussions involve diverse contributions and perspectives that can help move us-eu cooperation forward. As a result, the tpn offers a forum for stakeholders to maintain an open and frank dialogue on both sides of the atlantic; to promote discussion and greater understanding, even during occasional periods of discord, of the value of us-eu cooperation; and to help both sides recognize their common interests and the benefits they receive from a strong transatlantic relationship.
