“Clemons and associates, inc. Is the managment company. Business solutions association (bsa)maintains its offices at 3601 e. Joppa road, baltimore md, 21234. The main office of clemons & associates, inc. All regular bsa staff are employees of clemons & associates, inc. And are provided on an as needed basis. There is a contract agreement between the two parties that defines the role of the managment company. A managment fee is negotiated that covers the cost of the staff, office equipment, space and exucutive director of bsa.”

“The board of directors is elected by the membership, and consists of eight wholesale firms (all of which shall include the president, vice president, secretary and the treasurer) and four manufacturing firms. The wholesaler and manufacturer representative from the above said firms shall be elected at the annual meeting of the association for three-year terms, the terms to be staggered so that terms of one-third of the board shall expire each year. Newly elected directors shall take office immediately upon election”
