“Town square television members may run for a seat on the board of directors and may vote to elect one director on the board each year at the annual meeting. Since the board term is for two years, there are always two persons on the board who have been elected by the membership. Members must be 18 years of age or older to be elected to the board.”

“The executive director is compensated by northern dakota county cable communications commission (ndc4), the "un"related organization, and not by town square television. Ndc4 determines the compensation of the executive director by using comparability data and performance evaluation and budget factors. Compensation is discussed by the executive committee, a recommendation made, and then discussed again at a regular full commission meeting with a quorum of commissioners present. Actions are recorded in meeting minutes. The process happens annually when the ndc4 budget is approved, and also whenever ndc4 considers giving the executive director a raise. Last raise was approved in october 2020 and effective retroactively to january 2020.”

NDC4 DETERMINES THE COMPENSATION OF THE EXECUTIVE DIRECTOR BY USING COMPARABILITY DATA AND PERFORMANCE EVALUATION AND BUDGET FACTORS. COMPENSATION IS DISCUSSED BY THE EXECUTIVE COMMITTEE, A RECOMMENDATION MADE, AND THEN DISCUSSED AGAIN AT A REGULAR FULL COMMISSION MEETING WITH A QUORUM OF COMMISSIONERS PRESENT. ACTIONS ARE RECORDED IN MEETING MINUTES. THE PROCESS HAPPENS ANNUALLY WHEN THE NDC4 BUDGET IS APPROVED, AND ALSO WHENEVER NDC4 CONSIDERS GIVING THE EXECUTIVE DIRECTOR A RAISE. LAST RAISE WAS APPROVED IN OCTOBER 2020 AND EFFECTIVE RETROACTIVELY TO JANUARY 2020. |
