Form 990, Part VI, Section B, line 12C

The Board of Directors reviews the conflict of interest policy annually. Directors and Officers disclose any conflicts and these disclosures are dealt with accordingly. Any known material conflict of interest of a Covered Person which becomes relevant to any matter requiring action by the Board of Directors or any of its committees shall be disclosed to the Board of Directors or such committee, and such individual shall not vote on such matter, shall not use personal influence in connection therewith, and shall not be counted in determining the quorum for the meeting. The minutes of the meeting shall reflect that a disclosure was made, that the individual abstained from voting and was not counted in determining the quorum for the meeting.

Form 990, Part VI, Section B, line 15

A compensation review occurs annually following the end of the fiscal year. In preparation for the discussion, a compensation survey is conducted which consists of a review of comparable adoption agency Form 990's, non-profit salary surveys, and publically available data from the Department of Labor and salary websites. The data is compiled and compared to the current analyzed salaries of senior staff in relation to the organization's compensation philosophy and practices statement. Should there be indicators that an adjustment is necessary, recommendation is made with supportive data. The Compensation Committee determines if any increase will be approved considering both the data and the organization's ability to make the adjustment. The Compensation Committee's recommendation is approved by the Board of Directors which is documented in the Board minutes.

Part V, Line 4:

The Cradle's endowment is held and administered by The Cradle Foundation. The Cradle Foundation's endowment funds are intended for the support of general operations, the Nursery, and a post-adoption counselor.

Part X, Line 2:

The Cradle, the Foundation, and CAP have received determination letters from the Internal Revenue Service indicating they are tax-exempt organizations as provided in Section 501(c)(3) of the Internal Revenue Code and are exempt from federal and state income taxes on income related to its exempt purpose. The Organizations follow the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the Organizations may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Organizations, and various positions related to the potential sources of unrelated business taxable income. There were no unrecognized tax benefits identified or recorded as liabilities as of and for the year ended September 30, 2014. The Organizations file Form 990 in the U.S. federal jurisdiction and in the State of Illinois. The Organizations are generally no longer subject to examination by the Internal Revenue Service for years before fiscal 2011.

IRS990/Desc0Social Services:Established in 1923, The Cradle provides professional counseling, education and support to women and men facing unplanned pregnancies; to prospective parents seeking to form or expand their families through adoption; and to all members of the adoption triad on a post-adoption basis. Traditionally, our core services have been delivered through one-on-one counseling with our clients, but increasingly, The Cradle is taking advantage of various technologies to provide information, support and education to people who are touched by adoption in every corner of the United States and, indeed, around the world.We view our role with clients as a partnership, with the goal of providing clients with sufficient information, education, guidance and support to enable them to make the best decision for themselves and their family. In Fiscal 2014, we received 928 calls from birth/expectant parents inquiring about domestic adoption as an option. 489 clients entered into a counseling relationship with us. In this same period, 128 prospective adopting parents explored the options of domestic or international adoption as a means for forming or expanding their families. The Cradle's social work staff conducted 70 Home Studies for these families. The Home Study process at The Cradle emphasizes the importance of readiness and preparation to become an adoptive family. We help families determine if adoption is, indeed, right for them, and if so which type of adoption is the best fit: domestic or international. 60 families adopted children through our domestic program this year; 14 families adopted children from 5 countries abroad.The Cradle is an important resource for minority children, most especially for black infants. Of the 60 children placed with adoptive families, 25 were black or bi-racial. The Ardythe and Gale Sayers Center for African American Adoption undertakes extensive outreach within the black community to recruit families for these children. Eighteen informational/recruitment meetings were conducted in 2014. Increasingly, we are using our website to allow families to share their stories with the goal of encouraging more parents to consider adopting a black child: http://www.cradle.org/adoptive-parents-adoption-storiesAdoption is a lifelong process, not a singular event. Our Post Adoption Department offers a variety of services to those served by The Cradle over our 90 years including providing medical and social background information to adult adopted persons, and facilitating meetings between adopted persons and birth relatives in cases where the adoption was closed. Over the past decade, most of the domestic adoptions handled by The Cradle are open (i.e. the birth family and adoptive family have the ability to be in direct contact with each other) thus reducing these families' dependence on the intervention of the Post Adoption Department.The Cradle also provides individual and family counseling to those who are dealing with adoption-related issues; 526 counseling sessions were held in 2014. Social workers are able to offer resources to help families access various resources such as school-based assistance, as well as providing guidance and support for issues such as behavior and discipline, etc.
