“The organization did not provide a copy of the form 990 to all members of its governing body prior to filing due to timing constraints; however, a complete copy of the form 990 was provided to all members of the governing body simultaneous to filing form 990. All comments received on the form 990 will be evaluated and appropriately addressed.”

“Foundation management obtains conflict of interest statements annually from board members. The following disclosure from the policy statement is enforced by the foundation in any situation in which there is an identified conflict: directors who own, directly or indirectly, a significant financial interest in, or who manage or are employed by, any business entity that does or seeks to do business with phmef, shall refrain from voting on any issue pertaining to that relationship.”

“Prior to hiring the executive director, the executive committee of the foundation obtained and reviewed compensation information for other not-for-profit organizations of simlar size. The data utilized served as a base for the initial compensation which was adjusted downward due to constaints on the operating budget. The compensation was reviewed and approved by formal action of the board of directors. Minimal raises, approved by the board have been provided in subsequent years. Since raises have been minimal, no additional coparability studies have been deemed necessary.”
