Governance Explanations

Form 990, Part VI, Section A, line 3

The organization delegated control over management duties customarily performed by or under the direct supervision of officers, directors, trustees or key employees to The Kellen Company. Management fees represent amounts paid to The Kellen Company under the terms of an agreement for management and support services, office space, equipment, and other resources. Management fees totaled $135,229 for the year ended December 31, 2018.

Form 990, Part VI, Section A, line 6

The organization has dues paying members. The following membership classes are authorized: A. Regular. Air freight forwarding companies, indirect air carriers, or those companies that undertake to engage indirectly in air transportation of property and use the services of a direct air carrier for any part of such transportation. B. Associate. Surface line-haul providers, firms and professionals that primarily provide products or services to airfreight forwarding companies and indirect air carriers. C. Airline. Direct air carriers and their subsidiaries. D. Affiliate. Single location pickup and delivery companies, firms and professionals that provide products or services to airfreight forwarding companies and indirect air carriers. E. Honorary. May be conferred by unanimous vote by the Board of Directors upon individuals who have retired from the active involvement in the industry, or who have performed eminent service to the Association. Regular & Airline members shall have one (1) full vote, Associate members one-half (1/2) vote, and other classes of membership shall have such voting powers as the Board of Directors shall determine.

Form 990, Part VI, Section A, line 7A

All Directors shall be elected by written or electronic ballot of the members. The Nominating and Elections Committee will set procedures for making ballots available. Directors shall be elected by a majority vote of the members on the Election Date. Votes are to be counted and attested by a majority of the Nominating and Elections Committee and announced by the Annual Membership Meeting.

Right to Vote: Each member of the Association qualified to vote has the right to vote on all matters to be voted on by the members. Referendum Vote: All actions of the Board may be subject to a referendum vote by the membership of the Association, and such membership may rescind any act or acts of the Board, wherein the rights of third persons are not involved, upon a two-thirds (2/3) affirmative vote of the membership qualified to vote.

Form 990, Part I, Line 1, Organization Mission:

The Airforwarders Association (AfA) serves as the voice of the airforwarding industry. As an alliance of indirect air carriers, cargo airlines and related businesses operating across the global transportation community, we represent member companies dedicated to moving air cargo through the supply chain. Our members include not only airforwarders, but truckers, airlines, warehouse operators and businesses delivering a range of supporting services including technology, training, compliance, insurance and legal, just to name a few industries. Our members range from small businesses with fewer than 20 employees to large companies employing more than 1,000 people and business models varying from domestic to worldwide freight forwarding operations. In short, they are the travel agents for freight shipments, moving cargo in the timeliest and most cost efficient manner whether it is carried on aircraft, truck, rail or ship. A wide variety of goods are shipped via air cargo from organs for medical transplants to mail to live animals to manufactured goods such as clothing. Increasing, e-Commerce goods are moved by air from the manufacturer direct to the consignee. Airforwarders participate in this rapidly growing sector of the industry as well. Manufacturers rely heavily on air cargo shipments to ensure timely and secure delivery of goods, which is necessary to remain competitive in the global market. As security is and always has been the first priority of our industry, airforwarders are experienced professionals who maintain full control over cargo in secured facilities until it is delivered directly to the aircraft for transport.

We exist to assist our members through these key programs: Affinity Programs: AfA partnerships allow our members to create marketing opportunities to promote individual businesses and improve efficiency with service providers. Training Programs: With TSA requirements of airforwarders set to become more rigorous, having access to trusted training programs is more important than ever. Membership in the AfA allows your employees and business to benefit from first-rate training at a discounted price rate. Industry Advocacy on Key Legislation: The AfA works tirelessly on behalf of our members to ensure that major regulations, such as new cargo security initiatives, have the most favorable impact on forwarders and airlines. As an alliance of indirect air carriers, cargo airlines and related businesses operating across the global transportation community, we represent member companies dedicated to moving air cargo through the supply chain. Our members include not only airforwarders, but truckers, airlines, warehouse operators and businesses delivering a range of supporting services including technology, training, compliance, insurance and legal, just to name a few industries. Our members range from small businesses with fewer than 20 employees to large companies employing more than 1,000 people and business models varying from domestic to worldwide freight forwarding operations. In short, they are the travel agents for freight shipments, moving cargo in the timeliest and most cost efficient manner whether it is carried on aircraft, truck, rail or ship. A wide variety of goods are shipped via air cargo from organs for medical transplants to mail to live animals to manufactured goods such as clothing. Increasing, e-Commerce goods are moved by air from the manufacturer direct to the consignee. Airforwarders participate in this rapidly growing sector of the industry as well. Manufacturers rely heavily on air cargo shipments to ensure timely and secure delivery of goods, which is necessary to remain competitive in the global market. As security is and always has been the first priority of our industry, airforwarders are experienced professionals who maintain full control over cargo in secured facilities until it is delivered directly to the aircraft for transport.

B. Associate. Surface line-haul providers, firms and professionals that primarily provide products or services to airfreight forwarding companies and indirect air carriers. C. Airline. Direct air carriers and their subsidiaries. D. Affiliate. Single location pickup and delivery companies, firms and professionals that provide products or services to airfreight forwarding companies and indirect air carriers. E. Honorary. May be conferred by unanimous vote by the Board of Directors upon individuals who have retired from the active involvement in the industry, or who have performed eminent service to the Association. Regular & Airline members shall have one (1) full vote, Associate members one-half (1/2) vote, and other classes of membership shall have such voting powers as the Board of Directors shall determine.
