“The form 990 is prepared by an outside accounting firm. The information return is then reviewed by the finance and audit committee in draft form. The final version will be given to the full board for review, discussion and approval prior to filing.”
“In connection with any actual or possible conflict of interest, an interested person must disclose the existence of his or her financial interest and must be given the opportunity to disclose all material facts to the trustees and members of committees with board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists and follow procedures in place for addressing the conflict of interest.”
“The process for determining compensation of the organization's executive director includes a review of the compensation package, performance and use of comparability data for similarly sized and situated non-profit organizations. The compensation package is determined by the organization's independent board and is documented in the meeting minutes.”
“The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.”
“Pension-related changes 119,430.”
“All activity was recognized in income in 1996.”
“The organization holds pieces of artwork to encourage creativity and cultural awareness.”
“The association's temporarily restricted net assets are contributions with donor-imposed stipulations. These stipulations are removed when the association utilizes the donor funds for the purpose specified.”
“The guild is exempt from federal income taxes under section 501(c)(3) of the internal revenue code, except for unrelated business income as defined by the code. Accordingly, no provisions for federal, state or local taxes are included in the consolidated financial statements. The association performs an annual assessment for any uncertainty in income tax positions which includes an analysis of whether there are any tax positions the association takes with regard to unrelated business income, related deductions applied, or other activities that may jeopardize their tax exempt status and thus would meet the definition of an uncertain tax position. No tax liability accrual was recorded relating to material uncertain tax positions taken as management believes there are none.”
