The conflict of interest policy is given to every Board member on an annual basis.

Form 990, Part VI, Section B, line 15

A Compensation Committee was appointed by the Executive Committee. Several meetings of the Compensation Committee took place via phone conferences and email communications to evaluate the CEO job performance and target bonus for the year. The committee reviewed CEO's self evaluation and the Compensation committee members also provided their assessments of the CEO's performance from a board perspective. Comparable data was gathered regarding CEO compensation of other national downtown organizations, in particular, those in the Midwest in similar-sized cities. The Compensation Committee discussed such data in connection with its evaluation of the CEO's performance, his duties and accomplishments and special challenges in order to determine reasonable and appropriate compensation level and bonus potential. The CEO received an in-person oral evaluation. The CEO reviews key staff using guidelines from several similar sized organizations, e.g. Seattle, Indianapolis. Staff evaluations and compensation recommendations are reviewed with DCI Board Chair.
