The conflict of interest policy is given to every Board member on an annual basis.

Form 990, Part VI, Section B, line 15

A Compensation Committee was formed consisting of 5 members of the Executive Committee. Several meetings of the Compensation Committee took place via phone conferences and email communications to evaluate the CEO job performance and to consider any bonus for the year. The committee reviewed CEO's self evaluation, 360 evaluations of CEO submitted by staff and Executive Committee board members, and the Compensation committee members also provided their assessments of the CEO's performance. Comparable data was gathered regarding CEO compensation of other national downtown organizations, in particular, those in the Midwest in similar-sized cities. The Compensation Committee discussed such data in connection with its evaluation of the CEO's performance, his duties and accomplishments to determine reasonable and appropriate compensation level and bonus potential. The CEO received an in-person oral evaluation, followed by a written evaluation. The CEO reviews key staff using guidelines from several similar sized organizations, e.g. Seattle, Indianapolis.
