The conflict of interest policy is given to every Board member on an annual basis.

Form 990, Part VI, Section B, line 15

A Compensation Committee was formed consisting of 5 members of the Executive Committee. Several meetings of the Compensation Committee took place via phone conferences and email communications to evaluate the CEO job performance and to consider any bonus for the year. The committee reviewed CEO's self evaluation, evaluations of the CEO submitted by Executive Committee board members and others familiar with DCI and the work of the CEO, and the Compensation committee members also provided their assessments of the CEO's performance. Comparable data was gathered regarding CEO compensation of other national downtown organizations, including those in the Midwest in similar-sized cities. The Compensation Committee discussed such data in connection with its evaluation of the CEO's performance, his duties and accomplishments to determine reasonable and appropriate compensation level and bonus potential. The CEO received an in-person oral evaluation and future goals, and a written description of goals will be provided. The CEO reviews key staff using guidelines from several similar sized organizations, e.g. Seattle, Indianapolis.

As part of this program Downtown Cincinnati, Inc. also employs Social Service Outreach Coordinators to provide outreach services to the downtown population that are homeless or panhandling. In addition Downtown Cincinnati, Inc. has an agreement with Hamilton County to provide outreach services to individuals being released from prison. Downtown Cincinnati, Inc. has cleaning agreements with SORTA to clean Government Square and various bus stops and shelters, and various small cleaning contracts throughout downtown Cincinnati.
