Governance Explanations

Techsolve's cfo, president and corporate treasurer will review and approve the form 990 and related schedules. The entire 990 is then executed by the president and ceo prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is given to employees and the board of directors on an annual basis. Each individual is required to sign the policy indicating that they have received, read and understand the policy. Arrangements that create a conflict will be reviewed on a case by case basis. The organizaton periodically review its conflict of interest policy and the board members' annual disclosures. If any board member has a conflict, she/he cannot vote on the issue.

Form 990, Part VI, Section B, Line 15

Techsolve's entire compensation and benefit structure for each position, including the president and all other top management officials is reviewed annually (at a minimum)by the compensation committee. Further, every odd year the entire compensation and benefit structure for each position, including the president and all other top management officials is reviewed by an outside independent human resource/compensation expert. The overall compensation study is then provided for review and approval to the compensation committee which consists of the chairman and vice chairman of techsolve's board of directors. This review includes both local and national salary comparisons prepared by independent organizations and documents compensation provided by other organizations for similar job classifications in the local marketplace.

Financial Statement Notes

PART X, LINE 2:

Techsolve, inc. Is an ohio nonprofit organization as described in section 501(c)(3) of the internal revenue code and are exempt from federal and state income taxes on related income pursuant to the internal revenue code. Juxtum, inc. Is taxed as a 'c' corporation under the internal revenue code and similar state law. The organization has no provision for federal and state income taxes in the consolidated financial statements due to recurring losses sustained by the organization. The organization has adopted the provisions of the accounting pronouncement related to accounting for uncertainty in income taxes. The organization recognized no interest or penalties in the consolidated statement of activities for the 15-month period ended september 30, 2021. If the situation arose in which the organization would have interest to recognize, it would recognize this as interest expense and penalties would be recognized in other expenses. Currently, the prior three years are open under federal and state statute of limitations and remain subject to review and change. The organization is not currently under audit, nor has the organization been contacted by these jurisdictions. Based on the evaluation of the organization's tax positions, management believes all positions taken would be upheld under an examination. Therefore, no provision for the effects of uncertain tax positions has been recorded for the 15-month period ended september 30, 2021.
