Keep indianapolis beautiful, inc. ("kib") receives contributions from foundations, corporations and the general public for beautification and placemaking, community forestry and youth programming. Kib also contracts with the city of indianapolis and other local entities on community improvement and green infrastructure projects.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The board of directors approved updated by-laws in april to include the investment committee, a permanent subcommittee of the finance committe. The investment subcommittee is responsible for teh review and amendment of the investment policy, the management and oversight of the organization's various funds, and the direction and monitoring of the investment management of fund assets.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the business director and audit committee. The board is emailed a copy of the form 990 in advance of its filing with the opportunity to review it at each individual's discretion.

Form 990, Part VI, Section B, Line 12C

Each year, keep indianapolis beautiful requires all board members to review and sign the conflict of interest policy and also disclose potential conflicts of interest on that form. In addition, at the opening of every meeting of the full board of directors, the board chair calls for disclosure of potential conflicts. When a conflict arises, the board member must disclose it to the executive committee of the board (in the case of officer, directors and committee chairs/members). Each such individual must then excuse himself from voting or taking any other action on behalf of kib regarding any matter involving their interests. Upon disclosure of such a conflict, voluntarily or otherwise, the executive committee can recommend to the board that the individual having the conflict resign his position with kib or take other action to remove the conflict. Any failure to disclose a conflict of interest may subject the individual to removal from office, or other form of discipline, as determined by the executive committee of the board or the president.

The organization's board of directors assumes the oversight of the audit and selection of an independent accountant. The selection and review process has not changed from the previous year.

FORM 990, PART XI, LINE 9:

During the year ended december 31, 2024, the organization conducted a comprehensive review of the estimated useful lives of its fixed assets. As a result of this review, the organization determined certain assets had an estimated useful life that was significantly different from the previous estimates. The revised estimates reflect changes in the expected utility and usage patterns of these assets and are based on a more accurate assessment of their economic benefits over time. This adjustment is reflected in the accompanying financial statements as an increase in accumulated depreciation and a decrease in net assets of $287,660 as of december 31, 2023, as well as an increase in depreciation expense of $32,556 during the year ended december 31, 2023.

Endowment funds are used to support the activities of keep indianapolis beautiful.

PART X, LINE 2:

The organization received a determination from the u.s. Treasury department stating it qualifies under the provisions of section 501(c)(3) of the internal revenue code as a tax-exempt organization. Accordingly, no provision has been made for federal or state income taxes. Professional accounting standards require the organization to recognize a tax liability only if it is more likely than not the tax position would not be sustained in the event of a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax liability greater than 50% likely of being realized upon examination. For tax positions not meeting the more-likely-than-not test, no tax liability is recorded. The organization examined this issue and determined there are no material contingent tax liabilities or questionable tax positions. Tax years ended after december 31, 2020 are open to audit for both federal and state purposes.
