The conflict of interest policy covers board members, officers, and staff of the organization. Full disclosure, by notice in writing is required to be made by individuals with potential conflicts of interest to the full board of directors. The board of directors will determine if a conflict of interest exists and vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect the organization's best interest. The interested individual may not participate in the discussion except to provide clarifying information. The vote will be by a majority vote without counting the vote of any interested individual. Proceedings related to conflicts of interest are documented in meeting minutes.

The board reviewed published survey information to determine salary and benefit package for the president. For the remaining staff, the president/ceo uses industry standards to determine salary compensation in conjunction with benefits package offered. Ujamaa place is exempt from federal and minnesota taxation pursuant to the provisions of section 501(c)(3) of the internal revenue code and section 290.05 of the minnesota statutes and is only subject to federal and state income tax. In 2017 and 2016, the accompanying financial statements do not include any provision for federal or state income taxes. The organization's filings with the internal revenue service are subject to audit. The information returns for the past three and one-half years are open examination. Management has evaluated its tax positions and has concluded that they do not result in anything that would require either recording or disclosure in the financial statements based on the criteria set forth in asc 740.
