Governance Explanations

Form 990, Part VI, Section A, Line 2

Tim o'reilly, board member, is married to jennifer pahlka, founder of cfa, board member and past executive director.

Form 990, Part VI, Section B, Line 11B

The draft of the form 990 will be circulated prior to a board meeting for members to review and comment. It would be ratified by the board prior to filing.

Form 990, Part VI, Section B, Line 12C

Cfa has a board approved conflict of interest policy. New members are provided a copy to review and acknowledge. Periodically the policy is redistributed to all members for reacknowledgement. If a conflict were to arise, the conflicted member would recuse themselves from the board's consideration, deliberation and voting on the matter.

Form 990, Part VI, Section B, Line 15

The hr manager leads a salary review twice a year with managers and reviews recommendations on salary increases. The increases are reviewed by the ceo, chief financial and people officer and chief technology officer. Compensation changes for executives are also reviewed by the ceo and a subset of the board.

Form 990, Part VI, Section C, Line 19

The form 990 and audited financial statements are available on cfa's websites and upon request.

Financial Statement Notes

PART X, LINE 2:

The organization is considered to be a public charity and is exempt from federal income tax under section 501(c)(3) of the internal revenue code. The organization is exempt from state tax under state of california revenue and taxation code section 23701d. Only unrelated business income is subject to federal and state income tax. Since all the organization's income is related to its exempt purpose, no provision for income taxes has been made in the accompanying financial statements. The organization has adopted the accounting standard related to uncertainties in income taxes. The organization evaluates uncertain tax positions through its review of the source of revenue to identify unrelated business income and certain other matters, including those which may affect its tax exempt status. Management believes their estimates related to income tax uncertainties are appropriate based on the current facts and circumstances. The organization's federal returns of organization exempt from income tax (form 990) for years ended december 31, 2018 and after are subject to examination by the irs, generally for three years after they are filed. The organization's state returns (form 199) for the years ended december 31, 2017 and after could be subject to examination by state (california) taxing authorities, generally for four years after they are filed.
