Mission

The mission of pesi, inc. Is to educate and instruct the general public, public organizations, private industry, students and professionals to assist them in acquiring, developing and enhancing their knowledge and skills, and to assist other charitable and educational organizations in the conduct of similar activities.

To provide education and training to health care professionals, counseling professionals, and the general public through seminars and additional educational products including publications, cds, dvds, and online/on-demand courses.

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining directors shall decide if a conflict of interest exists. An interested person may make a presentation at the board meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The president or vice president shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board shall determine whether the corporation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the corporation's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement.

The organization is a not-for-profit corporation classified by the internal revenue service as tax-exempt under section 501(c)(3). The organization is also exempt from state income taxes pursuant to similar state of wisconsin tax laws. Rfa holdings, inc. Is a wisconsin stock for-profit corporation and files state income tax form 4. For irs purposes, the company is registered as a regular taxable corporation and files income tax form 1120. Deferred tax assets and liabilities are recorded for future tax consequences attributable to temporary differences between financial statement carrying amounts of assets and liabilities and their respective tax basis. Principally, these differences relate to depreciation of equipment and certain accrued expenses. A valuation allowance is provided when it is more likely than not that a deferred tax asset will not be realized. There were no deferred tax assets or liabilities at december 31, 2022 and 2021.
