Governance Explanations

Form 990, Part VI, Section B, Line 11

The Form 990 was prepared by the organizations independent CPA Firm, and it was reviewed by the CPA Manager for accuracy and corrections, and was later reviewed by the Executive Director before e-filing the report.

Form 990, Part VI, Section B, Line 12

At the beginning of the year a Conflict of Interest memo is signed by each Board Member expressively asserting that there is no conflict of interest existing between each member and the organization. During the annual audit, a Conflict of Interest Fraud Questionnaire is sent out to each Board Member to fill out as an additional audit step performed by the Organizations audit firm.

Form 990, Part VI, Section B, Line 15

All compensation increases and hire of management staff level employess are approved by the Board of Directors. This is a standard procedure in the Organization. The immediate supervisory staff, usually the Executive Director, makes the appropriate recommendation to the Board of Directors before raises are approved.

Form 990, Part VI, Section C, Line 19

Cheyenne Centers governance documents are prepared by management and reviewed by the Board of Directors. It is usually voted on, and approved by the Board of Directors. Upon approval by the Board of Directors, the annual Audit Report becomes a part of Public records. Consequently, any member of the public can request a copy of this report at any time through the Freedom Information Act.
