“The Board of Directors meet four times a year via conference calls presents. These meetings are documented in their minutes. An agenda is issued for each meeting, and all resolutions are reached thru vote taken, and these resolutions are documented in the minutes.”
“Upon preparation of the Form 990 by the outside CPAs, a copy is given to the Board of Directors, and the Executive Director for review and discussion. After review and discussion at the Board level, a vote is taken to approve the Form 990 and thereafter, this document is transmitted out the IRS. A copy is retained on file for future reference.”
“At the beginning of each year,usually during the 1st Board meeting, a conflict of Interest memoranum is signed by each Board member expressively asserting that there are no conflict of interest between the Board member and the Organization, Cheyenne Center, Inc. In addition, during its annual audit examination, a conflict of interest and fraud questionnaries are sent out to each Board member for verification by the independent Auditors for completeness.”
“All hiring and compensation structure of key personnel management staff are approved at the Board of Directors level.This is a standard procedure in the Organization. The immediate supervisory staff , usually the Executive Director makes the appropriate recommendation to the Board of Directors before raises are approved.”
