Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

An interested party is under a continuing obligation to disclose any potential conflict of interest as soon as it is known or reasonably should be known. When a conflict of interest arises, or when a potential conflict of interest emerges, the interested party will disclose that conflict, or potential conflict, to the Chair of the Board of Directors or Committee Chair.After disclosure of the conflict of interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.An interested party who has a potential conflict of interest with respect to a proposed action, policy or transaction of the corporation shall not participate in any way in, or be present during, the deliberations and decision-making vote of SGCF with respect to such action, policy or transaction. However, the interested party shall have an opportunity to provide factual information about the proposed conflict and/or action, policy or transaction. The board or committee may request that the interested party be available to answer questions.The disinterested members of the board or committee may approve the proposed action, policy or transaction upon finding that it is in the best interests of SGCF. The board or committee shall consider whether the terms of the proposed action, transaction or policy are fair and reasonable to SGCF and whether it would be possible, with reasonable effort, to find a more advantageous arrangement with a party or entity that is not an interested party.Approval by the disinterested members of the board or committee shall be by vote of a majority of members in attendance at a meeting at which a quorum is present. An interested party shall not be counted for purposes of determining whether a quorum is present, nor for purposes of determining what constitutes a majority vote of members in attendance. The minutes of the meeting shall reflect that the conflict disclosure was made to the board or the committee, the vote taken and, any abstention from voting and participation by the interested party.

Other program services 5: sweet grass arts alliance other program services 6: big timber creative arts - supports, inspires and encourages all visual, performing and literary artists in the big timber community. Other program services 7: crazy mountain wrestling - increase awareness and participation in the sport of wrestling. Other program services 9: sweet grass county partners in education - provides funding for projects, equipment, and physical improvements not otherwise available through the annual legislated budget. Other program services 13: coffee connections - hosted 4 coffee connections, a program that provides a platform for local organizations, leaders and community members to present and discuss current community projects. Other program services 14: community giving - opportunity for qualified local organizations to apply for grant funding for an upcoming project. Other program services 15: micro grants - provides micro-grants for unexpected, urgent, one-time expenses that arise that affect an organization's ability to fulfill their mission/goals. Other program services 16: community outreach other program services 17: old high school project fund - provides non-endowed fund to assist in the repurposing of the old high school property into community space (agreement with st. Mark's episcopal church, current owner of the property). Other program services 18: city park basketball court fund - provides a non-endowed fund to update the city park basketball court with all-weather tiles, adjustable hoops, lighting (agreement with city of big timber, owner of the park).
