Governance Explanations

Form 990, Part VI, Section A, Line 2

Form 990, Part VI, Section A, Line 7A

The organization's bylaws provide for five directors. At all times, three directors elected by the pittsburgh foundation shall be nominated by the directors of the corporation, subject to approval of the pittsburgh foundation. In addition, two directors shall be elected by the directors of the forbes funds.

Form 990, Part VI, Section A, Line 7B

The pittsburgh foundation has the authority to approve all modifications to the articles of incorporation of the forbes funds regarding all mergers, consolidations, divisions, sales of substantially all assets and any dissolution or liquidation. The pittsburgh foundation may remove from office any director elected by the pittsburgh foundation. The pittsburgh foundation has the authority to approve amendments to the bylaws.

Form 990, Part VI, Section A, Line 8B

The organization does not have any committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11

The organization provides its board members with an electronic copy of the form 990 for review before it is filed.

Form 990, Part VI, Section B, Line 12C

The organization requires each trustee to file a written declaration with the forbes funds stating affiliations and potential conflicts of interest upon joining as a trustee and once each year thereafter.

Form 990, Part VI, Section B, Line 15

The process for determining compensation of the organization's president includes a negotiation of salary between the board and the president, and a committee review of performance. Executive director evaluation and compensation: beginning in the 4th quarter of every year, the hr director solicits rounded feedback about the president's performance for that year from the members of the forbes fund, the board and anyone else who is identified by the board chair as critical to the success of the process. The hr director then summarizes the rounded feedback and gives it to the board chair by the end of november. The president also submits a self-assessment to the board chair by the end of november. The board chair conducts a performance review for the president in december. Based on the results of the performance evaluation and consistent with both the organization's ability to pay as well as a review of the benchmark and comparable compensation data for similar positions from similar community foundations, the board chair may recommend changes to both the base salary and the variable compensation for the president. The hr director prepares an intermediate sanctions review for the president position and other key employees, and submits the findings to the board chair for their review and approval during the 4th quarter of every year.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

FORM 990, PART VII, LINE 1A, COMPENSATION:

The value shown in column f, estimated amount of other compensation, includes the portion of the current year's accumulated benefit obligation that is attributable to benefits accrued during the year under the pittsburgh foundation's defined benefit pension plan. This figure was not available by individual for plan years prior to 2012.

Additional Explanations

FORM 990, PART XI, LINE 9:

Pension valuation adjustment 76,474.

FORM 990, PART XII, LINE 2C: FINANCIAL STATEMENTS AND REPORTING:

The board of directors assumes responsibility for oversight of the audit. This process has not changed from the prior year.

Financial Statement Notes

PART V, LINE 4:

The fund's endowment consists of various investment funds established for a variety of purposes. Its endowment includes donor-restricted endowment funds, and funds designated by the board of directors to function as endowments. As required by accounting principles generally accepted in the united states, net assets associated with endowment funds, including funds designated by the board of directors to function as endowments, are classified and reported based on the existence or absence of donor-imposed restrictions.

PART X, LINE 2:

The fund adopted financial accounting standards board (fasb) guidance for accounting for uncertainty in income taxes, which provides criteria for the recognition and measurement of uncertain tax positions. This guidance requires that an uncertain tax position should be recognized only if it is more likely than not that the position is not sustainable based on its technical merits. Recognizable tax positions should then be measured to determine the amount of benefit or liability recognized in the financial statements. The fund files u.s. Federal, state and local information returns, and no returns are currently under examination. The statute of limitations on the funds's u.s. Federal tax returns remains open for the years ended december 31, 2010 through the present. The fund continues to evaluate its tax positions pursuant to the principles of fasb guidance and has determined that there is no material impact on the fund's financial statements.

IRS990/Desc0THE FORBES FUNDS WAS ESTABLISHED IN 1982 TO PROVIDE EMERGENCY FINANCIAL ASSISTANCE TO NONPROFIT ORGANIZATIONS THAT WERE EXPERIENCING FUNDING INTERRUPTIONS OR SHORT-TERM CASH FLOW PROBLEMS. UNDER THE LEADERSHIP OF OUR FOUNDING DIRECTOR, ELMER J. TROPMAN, THE FORBES FUNDS PROVIDED MANAGEMENT CONSULTATION AND ADVICE TO SMALL NONPROFIT ORGANIZATIONS, AND CONDUCTED REGIONAL SCANS TO IDENTIFY UNMET NEEDS IN THE HUMAN SERVICES SECTOR. WE PROVIDED AN IMPORTANT SERVICE DURING A PARTICULARLY TURBULENT TIME WHEN MANY NONPROFIT ORGANIZATIONS WERE STRUGGLING TO ADJUST TO A NEW DOMESTIC POLICY AGENDA, AND TO SIGNIFICANT CHANGES IN FEDERAL AND STATE FUNDING PRIORITIES AND PROCEDURES.BY THE LATE 1980S, WHILE CONTINUING TO PROVIDE LOAN GUARANTEES, THE EMPHASIS OF OUR WORK SHIFTED TO LONG-TERM CAPACITY BUILDING IN THE NONPROFIT SECTOR. DURING THIS TIME, THE FORBES FUNDS FOCUSED ON HELPING NONPROFITS IMPROVE ADMINISTRATIVE SKILLS AND INFRASTRUCTURE, WITH SPECIAL EMPHASIS ON LONG-RANGE PLANNING AND STRATEGIC MANAGEMENT. THROUGH GRANTMAKING, THE FORBES FUNDS HELPED NONPROFIT ORGANIZATIONS SECURE TECHNICAL ASSISTANCE TO ADDRESS SUCH CRITICAL MATTERS AS STRATEGIC PLANNING, FINANCIAL MANAGEMENT, AND BOARD GOVERNANCE.BEGINNING IN 1996, THE FORBES FUNDS ADVANCED EFFORTS TO SUPPORT MANAGEMENT CAPACITY BUILDING AND STRATEGIC PLANNING, WHILE ALSO ADDRESSING SUCH SECTOR-WIDE ISSUES AS INTER-AGENCY PARTNERSHIPS AND MERGERS. BUILDING UPON OUR SUCCESSFUL CAPACITY BUILDING STRATEGY, IN 2013, WE REDEFINED OUR FOCUS TO CONCENTRATE ON THREE COMPLEMENTARY ACTIVITIES, NOW COMPRISING THE CORE OF OUR WORK - CAPACITY BUILDING, INNOVATION AND NONPROFIT PARTNERSHIP - THROUGH WHICH THE FORBES FUNDS HAS ELEVATED ITS ROLE AND ITS PROFILE AS WE RESPOND TO THE CRITICAL NEEDS OF THE NONPROFIT SECTOR. IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE FUND'S ENDOWMENT CONSISTS OF VARIOUS INVESTMENT FUNDS ESTABLISHED FOR A VARIETY OF PURPOSES.
IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1THE FUND ADOPTED FINANCIAL ACCOUNTING STANDARDS BOARD (FASB) GUIDANCE FOR ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES, WHICH PROVIDES CRITERIA FOR THE RECOGNITION AND MEASUREMENT OF UNCERTAIN TAX POSITIONS.
