To provide services and assistance for adults with mental illness enabling them to live, learn and participate fully in their communities.

Governance Explanations

Form 990, Part VI, Section A, Line 4

The following are a list of significant changes to the organizations bylaws as amended on february 19th, 2014: 1. Maximum number of directors changed from 16 to 24. Directors may serve more than 3 consecutive terms with board approval. 2. Board memebers can resign by written notice to chair, executive director, or the secretary. No director may resign if buckelew would be left without a duly elected director or directors. 3. Directors shall have no power as individual directors and shall act only as members of the board. 4. Allows for advancement or reimbursement of actual resonable expenses. 5. The board shall monitor compliance with the conflict of interest policy. 6. Regular meetings shall be determined by the board and special meetings can be called by the chair, executive director, secretary, or and two directors. 7. Directors shall receive either 4 days' notice by first class mail or 48 hours notice by other methods. Notice need not be given if directors sign a waiver of notice. 8. In no event shall the required quorum be less than one-fifth of the authorized number of directors or two directors, whichever is larger. Despite the departure of directors, if any action taken or decision made is approved by at least a majority of the required quorum for that meeting. 9. Actions without a meeting can be taken if consent of any "interested director" shall not be required. 10. Each board action committee shall consist of two or more directors. Only directors may serve on any board authority committee. 11. The board can create other committees in an advisory capacity to the board. 12. Directors may resign by giving written notice to the chair, the executive director, or the secretary. 13. Executive director shall attend all board and board committee meetings, other than audit committee meetings. 14. Duties of the cfo has been added to the bylaws. 15. Added a compensation review policy.

Buckelew programs strives to attract and retain the highest quality, dedicated leadership talent to the executive director position. The board of directors shall appoint a compensation committee composed of independent, unrelated board members to make decisions concerning the executive director's compensation package. Using periodic salary surveys, this committee will review and authorize the salary and benefits for the executive director. Annually, after the completion of the executive director's performance evaluation, the executive compensation committee shall review and revise the executive director's compensation package as is deemed appropriate. The compensation committee shall provide a document to the board of directors, which will include: a) specific terms of the compensation package b) the approval date c) the names of the members of the committee who approved the compensation d) the rationale used in making the compensation decision e) any disclosures of conflict of interest the policy and procedures for the compensation of the director of finance are consistent with the policy and procedures for the compensation of the executive director. Buckelew programs routinely conducts salary surveys, which is an integral part of the process for the determination of compensation throughout the organization.
