Governance Explanations

Form 990, Part VI, Section B, Line 11B

Governing board review of form 990 a draft of the 990 form is reviewed by the executive director, bookkeeper, and board treasurer when received from the auditor. After review and any appropriate changes are made, the 990 is sent to the board of directors for review prior to a board vote. The board reviews the document, addresses concerns, and makes corrections, as necessary. If appropriate, the board returns the 990 for changes, and then approves the report. If no changes are needed, the board approves the 990 form.

Form 990, Part VI, Section B, Line 12C

Monitoring and enforcement of conflicts policy each voting member of the governing board and officers are required to complete a conflict of interest form in september of each year. These forms are reviewed by the executive director and the executive committee of the governing board to ensure that no conflicts of interest exist. In addition, each voting member of the governing board and officers are encouraged to report the existence of any new relationships that may implicate a conflict of interest at any time after the submission of the forms. If a conflict exists, the interest person will recuse themselves from discussion and voting on the matter in which a conflict exists. After exercising due diligence, the board shall determine whether the company can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board shall determine by a majority vote of the disinterested members of the board whether the transaction or arrangement is in the company's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement or whether to take action to terminate such existing transaction or arrangement (taking into account the relative advantages and disadvantages of terminating such existing transaction or arrangement and whether such termination would be beneficial or detrimental to the company).

Process for determining compensation officer's compensation is determined annually using wage and benefits information published in the nonprofit wage and benefit survey by the nonprofit center at lasalle university, wage watch, and through comparison with similar nonprofit agencies.

PART X, LINE 2:

Uncertain tax positions under asc 740 gaap requires entities to evaluate, measure, recognize and disclose any uncertain tax positions. Gaap prescribes a minimum threshold that a tax position is required to meet in order to be recognized in the financial statements. The center believes that it had no uncertain tax positions as defined in gaap.
