Mission and Program Overview

Mission

Critical Resistance seeks to build an international movement to end the prison industrial complex (PIC) by challenging the belief that caging and controlling people makes us safe. We believe that basic necessities such as food, shelter, and freedom are what really make our communities secure. As such, our work is part of global struggles against inequality and powerlessness. The success of the movement requires that it reflect communities most affected by the PIC. Because we seek to abolish the PIC, we cannot support any work that extends its life or scope.

Governance Explanations

Form 990, Part VI, Section A, Line 7B

FROM THE BYLAWS: Subject to Section 5210 of the California Corporations Code, corporate powers shall be exercised by or under the direction of the Board of Directors. The Board of Directors may delegate the management of the activities of the Corporation to any person or persons, management company or committee however composed. But, while the decisions the Board makes are not legally bound to approval by members, in principle the Board solicits and considers input from the members before making decisions that impact the organization.

Form 990, Part VI, Section B, Line 11B

The 990 is circulated electronically to the Board of Directors as well as the finance team for accuracy and approval before filing. An electronic vote of approval (following organizational bylaws) will be conducted by the Board and, upon approval will be filed. The 990 will be available to any member of the organization upon request.

Board officers are encouraged to report any issues to the Board chair and CR staff that could give rise to conflicts throughout the year.

While no Board member is paid for Board service Directors may be allowed and paid their actual and necessary expenses incurred in attending Directors meetings. In addition, they may be allowed reasonable advancement or reimbursement of expenses incurred in the performance of their regular duties as specified in Section 3 of this Article. This portion of the bylaws was adopted after a survey of similar non-profit organizations bylaws and under consultation with non-profit legal support. All employees receive a starting salary of $74,900 a year.

Financial Statement Notes

Part X : FIN48 Footnote

The Internal Revenue Service and the California Franchise Tax Board have determined that the Organization is exempt from federal and state income taxes under IRC 501(c)(3) and California RTC 23701(d). The Organization has evaluated its current tax positions as of June 30, 2023 and is not aware of any significant uncertain tax positions for which a reserve would be necessary. The Organizations tax returns are generally subject to examination by federal and state taxing authorities for three and four years, respectively, after they are filed.

Leadership Development activities have included: Conducted capacity trainings and workshops with our staff and members in areas including campaign planning and implementation, base building, fundraising, media advocacy and organizational development; provided trainings, workshops, and presentations for community members and organizations across the country; completed and conducted an training curriculum for internal educational purposes; completed onboarding a new National Development Director and National Membership Coordinator; hired and trained a new person in the Building Project Manager position; created a new National Correspondence Fellowship, and hired and trained someone in the position; hired a new Office Administrative Assistant. Organizational Development activities have included:Completed our 2021-2023 National Strategic Plan; began a process of virtual and in person meetings to start planning a new National Strategic Plan for 2023-2025; coordinated national grassroots fundraising activities; held a national large-scale in-person and virtual hybrid fundraising event in San Francisco; organized digital events and webinars; continued to build out our contact management system and train staff on how to use it; underwent a 6-month training with outside consultant on strengthening organizational and staffing infrastructure; underwent a 3-month training with outside consultant on improving organizational financial tools and literacy.

IRS990/MissionDesc0Critical Resistance seeks to build an international movement to end the prison industrial complex (PIC) by challenging the belief that caging and controlling people makes us safe. We believe that basic necessities such as food, shelter, and freedom are what really make our communities secure. As such, our work is part of global struggles against inequality and powerlessness. The success of the movement requires that it reflect communities most affected by the PIC. Because we seek to abolish the PIC, we cannot support any work that extends its life or scope.
