Nethope empowers committed nonprofit organizations to change the world through the power of technology. Refer to continuation in schedule o.by facilitating collaboration between nethope's nonprofit members, charitable foundations and tech sponsors, nethope is a catalyst for productive innovation and problem-solving in humanitarian and conservation work. Since its founding in 2001, nethope has grown to represent 65 top tier international ngos, working on some of the world's toughest challenges including poverty and hunger, refugee displacement, human trafficking, gender inequality, and environmental protection in 180 countries worldwide.

Governance Explanations

In october 2014, the board approved a change to the bylaws that created board term limits and classes for board members. The term limits are now set at a maximum of two, three year terms and all board members are identified as being in class i, ii or iii to ensure that there is regular rotation off the board and new board members are regularly elected.

In addition to the right to elect directors and such other powers and rights as vested in them by law, the certificate of incorporation, or our bylaws, the members shall have such other powers and rights as the board of directors may designate.

Nethope provides a copy of the federal form 990 to the board of directors for review and responds to inquiries within a five day period, prior to filing with the internal revenue service.

The board of directors has the responsibility for reviewing and setting the ceo's compensation package. The personnel committee of the board reviews market data along with the ceo's performance in determining what an equitable compensation package should be and makes its recommendation to the board. In turn, the ceo is charged with preparing evaluations for nethope's senior management team based on each individual's performance during the current year. This data is then used by the ceo in setting compensation packages for the senior management team. This was last performed in january 2014.

IN FY 2015 NETHOPE'S EMERGENCY RESPONSE EFFORTS FOCUSED PRIMARILY ON THE EBOLA OUTBREAK IN WEST AFRICA AND THE EARTHQUAKE IN NEPAL.A) EBOLA OUTBREAK: TOWARDS THE END OF 2014, NETHOPE BEGAN CLOSELY MONITORING WHAT WOULD BECOME THE EBOLA OUTBREAK IN WEST AFRICA. THE LARGEST EPIDEMIC OF ITS KIND, EBOLA CARRIED WITH IT A GREAT DEAL OF MYSTERY AND FEAR, EXACERBATED BY A SEVERE LACK OF COMMUNICATIONS CAPACITY WHEN AND WHERE IT WAS MOST NEEDED. AFTER NETHOPE BEGAN ITS OFFICIAL RESPONSE TO THE EBOLA OUTBREAK IN AUGUST 2014, WORK CONTINUED INTO 2015, AS INFORMATICS SERVICES AND CONNECTIVITY CONTINUED TO BE NEEDED. NETHOPE BOOSTED THE BANDWIDTH OF 44 LOCATIONS AND IMPLEMENTED BRAND NEW SET ARRANGEMENTS IN 32 LOCATIONS, RAPIDLY RESPONDING WHERE INFECTION WAS MOST PREVALENT, SERVING AN ESTIMATED 22 MILLION BENEFICIARIES.B) NEPAL EARTHQUAKE: FOLLOWING THE 7.9 MAGNITUDE EARTHQUAKE WHICH STRUCK NEPAL, THE NETHOPE QUICKLY MOBILISED TO PROVIDE SHARED CONNECTIVITY SOLUTIONS TO HUMANITARIAN RESPONDERS IN NEED OF CONNECTION. NETHOPE ALSO PROVIDED CRITICAL CRISIS INFORMATICS SERVICES, MAPPING DAMAGE AND AID LOCATIONS, AND DEPLOYED UAVS TO SURVEY AND ASSESS THE DISASTER.
