Governance Explanations

Form 990, Part VI, Section B, Line 11

Prior to filing form 990, a copy of the completed form 990 and all of its support schedules were given to the board treasurer and counseling center director for review. The board treasurer presents the completed form 990 to members of the finance committee at their monthly meeting to review. The chairman of the finance committee summarizes the form 990 and answers all questions from board members at a future board meeting.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed with the full board of directors in january each year and all board members are asked to commit to and sign the policy. The policy includes monitoring and enforcement, as it states; board action: when a conflict of interest is relevant to a matter being considered by the board, any person who believes they have a conflict of interest shall call it to the attention of the board and abstain from participating in deliberation, the final decision or voting on the matter. When there is doubt a conflict of interest may or may not exist, the matter shall be resolved by a vote of the board, excluding the person for whom there is a question. Record of conflict: the official minutes of the board shall reflect that the conflict of interest was disclosed and the interested person(s) did not participate in the final discussion or vote.

Form 990, Part VI, Section B, Line 15

A board personnel committee, made up of independent board members, follows compensation and personnel policies and yearly evaluates the director. Evaluation forms are filled out by the director, staff and board members. The personnel committee makes recommendations to the board each year concerning the evaluation results and any changes to salary and/or benefits, staffing and personnel issues that affect the director and staff. Officers do not receive compensation. The center's director does not meet the definition of a key employee.
