Governance Explanations

Form 990, Part V, Line 1 & 2, Part VII, Section A & B

Officers, Highest Compensated Employees and Independent Contractors: Activity of Joint Israel reflected in this form takes place exclusively in Israel. There is no activity taking place in the U.S. All compensation paid to Joint Israel employees reported in Part VII was paid exclusively in Israel; no compensation has been paid to any Joint Israel employee in the U.S. or any other locale outside of Israel.

Form 990, Part VI, Section A, line 2

Board members Ophir Singal, Pablo Weinsteiner and Ariel Zwang are employees of AJJDC, Joint Israel's parent organization where board members of Joint Israel Dr. Irving Smokler, Mark Sisisky, Annie Sandler and Stanley Rabin were also members of the board.

Form 990, Part VI, Section A, line 6

Organization's members: American Jewish Joint Distribution Committee ("AJJDC") is a sole member.

Form 990, Part VI, Section A, line 7A

Power to appoint members of governing member: As a member, AJJDC may appoint directors.

Form 990, Part VI, Section B, line 11B

Process used to review Form 990: Joint Israel hires an independent accounting firm to review its Form 990 prepared by the organization's accounting staff. A copy of the Form 990 is distributed to the organization's board members and management for review prior to filing with the IRS.

Form 990, Part VI, Section B, line 12C

Conflict of interest policy monitoring & enforcement: An Israeli affiliate of the American Jewish Joint Distribution Committee, Inc. ("JDC"), Joint Israel is a registered Israeli company for the public benefit that receives programmatic directions, block grants, and operating funding support from JDC. By virtue of this general support, JDC's global policies also apply to Joint Israel directors, officers, and employees, including a whistleblower policy and a document retention and destruction policy. This organization has adopted JDC's conflict of interest policy. All of the directors have confirmed that they have read and understood the conflict of interest policy and that to the best of their knowledge, they have no conflict of interest with the organization.

Form 990, Part VI, Section B, line 15

Process for determining compensation: JDC'S Human Resources Committee has been presented with and has reviewed the total compensation of Joint Israel's officers, key employees, and highly compensated professional staff during its December 2020 meeting for 2021 compensation.

Form 990, Part VI, Section C, line 19

Availability of documents to the public: The organization makes its Form 990 available to the public by retaining a copy at its place of business. The Form 990 is likewise published on the internet at www.guidestar.org. The organization's financial statements, governing documents and conflict of interest policy are not ordinarily made available to the public, but, if required, will be provided at management's discretion.

Form 990, Part VII and IX

In the interest of clarity and transparency, Joint Israel is providing context on the compensation reported in Part VII and IX. Joint Israel pays compensation to certain employees of JDC who are based in Israel and provide services to Joint Israel and JDC. The compensation paid by Joint Israel is reported on Part VII, column D. The compensation expense for these employees is recorded on the JDC financial statements. As such, Joint Israel does not report the compensation expense for these employees on Part IX.

Additional Explanations

Form 990, Part III, line 1, Organization'S mission, continued:

A) The elderly, whose proportion within Israel's population has increased rapidly, in large part as a result of immigration from the former Soviet Union. B) Children, youths-at-risk, and their families, for whom only limited services were available until fairly recently, despite the increased incidence of the numbers of needing help that has accompanied changes and challenges Israeli society is experiencing. C) Hard-to-absorb immigrant groups, notably the Ethiopian- and Caucasus-Israelis, whose unique cultural backgrounds pose long-term barriers to their effective integration. D) The long-term jobless Israelis facing barriers to employment that keep them out of the workforce and dependent entitlements. E) Individuals with physical, sensory and intellectual disabilities who seek improved life experiences and increased participation in society.

Form 990, Part V, line 2

Employees reported on W-3: Joint Israel employees are paid entirely in Israel and the organization is not required to issues form W-2. The number listed on line 2 represents the number of form W-2s that would have been issued if Joint Israel employees were located in the U.S.

Form 990, Part XI, line 9:

Foreign exchange rate variance -149,000. Impairment of asset -161,000.

Form 990, Part XII, line 3

Funding from U.S. Government Agencies: Occasionally Joint Israel receives minimal funding from U.S. Government agencies. The amounts do not meet the threshold to undergo an audit or audits as set forth in the Single Audit Act and OMB Circular A-133.

Financial Statement Notes

Part V, Line 4:

The intended use of the organization's endowment funds: The intended use of the organization's endowment funds is for research and development of programmatic activities.

Part X, Line 2:

FIN 48 Disclosure: This JDC affiliated organization is reported in the consolidated financial statements of its parent organization, the American Jewish Joint Distribution Committee, Inc. ("JDC"). The following FIN 48 footnote is from the JDC consolidated financial statements. JDC is exempt from federal income tax under IRC section 501(c)(3), though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the Code. JDC is, likewise, exempt from income tax under comparable state statutes. JDC does derive revenue from an unrelated trade or business through its partnership investments; accordingly, it had a federal and state income tax refund of $31,147, which has been netted against investment income, for December 31, 2021. JDC follows guidance that clarifies the accounting for uncertainty in tax positions taken or expected to be taken in a tax return, including issues relating to financial statement recognition and measurement. This guidance provides that the tax effects from an uncertain tax position can only be recognized in the financial statements if the position is more-likely-than-not to be sustained if the position were to be challenged by a taxing authority. The assessment of the tax position is based solely on the technical merits of the position, without regard to the likelihood that the tax position may be challenged. JDC has processes presently in place to ensure the maintenance of its tax-exempt status; to identify and report unrelated income; to determine its filing and tax obligations in jurisdictions for which it has nexus; and to identify and evaluate other matters that may be considered tax positions. JDC has determined that there are no material uncertain tax positions that require recognition or disclosure in the financial statements for December 31, 2021.

Part XI, Line 2D - Other Adjustments:

Foreign exchange rate variance -149,000.

Part XII, Line 2D - Other Adjustments:

Impairment of asset 161,000.

IRS990/ProgSrvcAccomActy2Grp/Desc0Public System Efficiency and Effectiveness: a division of Joint Israel, which works to improve social service provision by tackling entrenched structural problems in the public service system (as opposed to the services themselves) that hamper the system's ability to function and deliver. Main areas of development include: digitalization programs to tackle the factors that promote or prevent the public sector's use of innovative digital technologies; innovating mechanisms to maximize the utilization of government funds allocated to Israel's local authorities and to social periphery; programs that advance cross-sector cooperation to create quality people-centered social services; (cont. sched. O) developing initiatives and infrastructure to strengthen regions to reduce regional disparities in social and economic opportunity.

IRS990/ProgSrvcAccomActy3Grp/Desc0Optimal Aging for 100 Year of Life: A partnership between Joint Israel and a consortium of key government ministries, which plans, develops and helps to upgrade facilities and services for all elderly Israelis. Joint Israel uses modern technology in order to improve quality of life, develops programs for the lonely and isolated elderly, and improve communal participation. Joint Israel develops programs for independent elderly, who have recently retired or seek employment. It also develops special programs for elderly health living, rehabilitation and programs for people with dementia. Joint Israel directly served approximately 90,000 elderly through its program activities and additional 340,000 were reached through published materials.

IRS990/ProgSrvcAccomActyOtherGrp/Desc0Workforce Integration and Productivity: Joint Israel aims to expand employment opportunities for special populations, who are defined as those that have greater difficulty than others in finding employment appropriate to their skills, as well as populations that start out from a relatively low skill level. Unemployment exacts a heavy toll in social and personal terms. In addition to economic hardship, there is a feeling of loss of control, a decline in self-image, loss of status, and a sense of frustration. Joint Israel's goals in its entrepreneurship efforts are to develop culturally sensitive services for members of special populations that have the potential to join the workforce or entrepreneurship world.Teach First Israel: Teach First Israel (TFI) was launched in 2010, in partnership with JDC- Israel, the Ministry of Education, Ha-Kol Hinuch Movement and Naomi Foundation with the mission to see that all Israeli children have the opportunity to pursue a future in any field they desire, regardless of the background from which they come. This is done by developing educational programs for children in the social and geographic periphery of Israel, through the professional training program for teachers based on the international "Teach for All" Model. Independent Living for People with Disabilities: program works on closing the gap in opportunities for full participation in society and independent living for people with disabilities in Israel.Other programs include special programs for vulnerable population.
