Governance Explanations

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder

RSSI maintains two classes of membership. Active members are eligible to exhibit at RSSI exhibitions. Associate members are not eligible to exhibit. All members may vote on the board of directors and serve on comittees. Membership is open to business or individuals who engage in manufactoring/selling of service/products which are used in railway signals, controls, communications and management information systems. It is also open to engineers, consultants, or contractors engaged in design, construction, operation or rail maintenance and members of the rail or rail-transit industry trade media. Dues entitle active members to exhibit at the annual exhibition. All members are eligible to participate in the annual meeting, regulatory/legislative updates, buyers guide links and newletters.

Form 990, Part VI, Line 11B: Form 990 Review Process

An initial draft of form 990 is prepared by an independent CPA and presented to management for review. THe executive director and finance director may propose changes which will be incorporated into a full draft. Prior to filing the final draft is made available to the board and the finance comittee to review and approve.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

All board members are required to sign a conflict of interest policy statement upon joining the board.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

The Organization maintains a compensation comittee composed of a chairman and three other board members. This committee is responsible for the review of the executive director's compensation and making recommendations to the full board regarding compensation. The full board votes to approve or disapprove the recommendation.

Associate members are not eligible to exhibit. All members may vote on the board of directors and serve on comittees. Membership is open to business or individuals who engage in manufactoring/selling of service/products which are used in railway signals, controls, communications and management information systems. It is also open to engineers, consultants, or contractors engaged in design, construction, operation or rail maintenance and members of the rail or rail-transit industry trade media. Dues entitle active members to exhibit at the annual exhibition. All members are eligible to participate in the annual meeting, regulatory/legislative updates, buyers guide links and newletters.
