Governance Explanations

Form 990, Part VI, Section B, Line 11B

Candid's form 990 is prepared by the outside accounting firm, pkf o'connor davies. The form 990 is then reviewed by the organization's vp of finance and ceo. Subsequently, the audit committee of candid's board of trustees and the full board receive an electronic copy of the form 990 and reviews the return. After responding to all inquiries and making any necessary changes, the final form 990 is provided to all members of the board prior to its filing with the irs.

Form 990, Part VI, Section B, Line 12C

A conflict of interest disclosure statement is obtained annually from all trustees, officers, manager and other key employees who are currently serving candid. A report summarizing the disclosure statements is provided to the board of trustees annually. It is candid's policy that in the event of a conflict the following is done: if there is a conflict relevant to a matter requiring action by the board of trustees, the interested person shall call it to the attention of the board of trustees, and the trustee concerned shall not vote on the matter. Moreover, the person having a conflict may answer questions that shall arise from the board of trustees, but shall retire from the room in which the board is meeting and shall not participate in any deliberation or decision regarding the matter under consideration. When there is doubt as to whether a conflict of interest exists, the matter shall be resolved by vote of the board of trustees or its committee, excluding from the room and the vote the person whose situation will be discussed. When a conflict of interest arises for any staff member except the president, that staff member shall report it to the president in writing. A conflict of interest relating to the president shall be reported in writing to the chair of the board. In addition, if the conflicted party has a substantial financial interest in the matter, the board would need to consider alternatives.

Form 990, Part VI, Section B, Line 15

Candid's board of trustees, consisting of independent persons, establishes compensation for the president and reviews the compensation for the other officer(s) and vice presidents on an annual basis. Prior to making compensation decisions, the board obtains information on the compensation of functionally comparable positions for similarly qualified persons at similarly situated organizations and/or benchmark salaries for select positions obtained from salary surveys. Documentation of the deliberations and decisions were made via email. The compensation review process was last undertaken in october 2023.

Every year, millions of nonprofits spend trillions of dollars around the world. Candid finds out where that money comes from, where it goes, and why it matters. This gives us a unique platform where we can surface data and insights to inform decision-making, streamline the grantmaking process, and ensure more equitable access to funding. Candid gets you the information you need to do good.

FORM 990, PART III, LINE 4A:

Candid's programs align with our 2030 vision which builds on our unique ability to be the information infrastructure that supports organizations doing good. Candid is working on collecting, analyzing, and distributing data and insights about the work of the social sector, organized around five key strategies: real time, common profile, real places, full view, and full story, which align to our program areas as follows: major products and other public service accomplishments include the following: common profile - establish common profiles with key information on social sector organizations to optimize transparency and reduce redundancy. The social sector is fragmented, leaving individual organizations culturally and operationally isolated. Through a common profile we can increase the throughput of basic organizational information, reduce waste, reveal diversity, and build shared identity. A key step towards establishing common organizational profiles requires us to increase and improve the data in candid profiles on guidestar. Guidestar currently includes data on 1.8 million registered nonprofits, making it easier to understand who they are and what they do. Nonprofits are encouraged to update their profiles at no cost to them. As of december 2023, 96,325 organizations had earned a candid seal of transparency. By doing so, they increase their visibility on candid's platforms, accessed by 12+ million people each year. This information is also made available through donor platforms that use our tools including technology companies, donor advised funds, and giving platforms which use our information to increase access to trusted data. By working with these platforms to integrate our data into their systems, we are helping donors make informed decisions to further the causes they care about and amplifying the reach of our data. We continue to improve how we collect and display data to help nonprofits share their work in the most meaningful way. This year, we focused on making it easier for users to achieve our bronze seal of transparency which is the first of four seal levels. We moved two questions, target population and grantmaker status, to the silver seal level. The goal is to make obtaining a seal of transparency easy, so users are encouraged to continue filling out their information. Candid's apis are customizable tools that offer a standardized, real-time, secure means to access our data, feeding our flagship products like guidestar, foundation directory, and foundation maps. Our apis are also used by funders to integrate candid data into their grants management software; businesses that want to use this data to enrich records or other business processes; and individuals who are looking for ways to give wisely. In 2023, we launched a free demographics api which provides the social sector with a standardized demographic data structure. It allows funders to streamline their grantmaking processes and track progress on their funding commitments while reducing the administrative burden on nonprofits. The identities covered in our demographics include race, ethnicity, gender identity, sexual orientation, and disability status. By adding demographic data to nonprofit records, funders can keep this data up to date with the latest information refreshed on demand or automatically. Full view - weave candid datasets together to share all that is known about the social sector accessibly and intuitively. Candid offers several tools and datasets to advance the work of social sector organizations. This includes fundraising tools like foundation directory, organizational analysis tools like guidestar and foundation maps, landscape portals, and practice tools such as candid learning. We continue to maintain and enhance these tools to best serve our users. Major public interest & other programs accomplishments in 2023 include the following: real places - create place-based networks to access candid data and connect with other changemakers. Through our candid community partners (formerly known as funding information network), we reach local communities and make access to our core tools freely available to organizations that might not have the resources to afford subscriptions. In the past, foundation directory and grants to individuals databases were available at partner locations. In 2023, we added guidestar to the candid community partner package, allowing partners to serve a greater swath of their community by providing additional resources for those looking to research, donate, or volunteer with local nonprofits. This new offering is a more complete solution for partners who want to bring candid's resources to their communities. Our partners are deeply embedded in the local communities they serve. In 2023, we focused on expanding our reach to make our tools and resources more equitably accessible. We grew from 350 to 952 partner locations across the country. These 952 partners consist of community-based organizations that strengthen local nonprofit ecosystems by offering a suite of training and data tools free of charge to the public. In december 2023, we streamlined from having two tiers to one that offers access to candid training resources to all partners. We continued to provide our candid community partners with the support they need to successfully use our tools and programs to serve their local communities. Given candid's overarching goal of providing equitable access to our tools and resources, in 2023, we made nearly all trainings free so that cost would no longer be a barrier to accessing them. This is made possible by the generous support we receive from donors. We've seen the impact of doing so; our course registration numbers doubled to over 55,000 in 2023 compared to 26,000 in 2022. Through issue lab, we support ongoing learning and research in the social sector. The site provides insights from more than 34,000 research reports published and/or funded by social sector organizations. In 2023, we launched a climate change and communities special collection on our issue lab platform. Climate change and communities is a curated collection highlighting the way climate change affects communities and people, and the ways communities and philanthropy are responding. From planning for rising sea levels in coastal areas to improving water management practices in drought-prone regions, the 200+ reports, case studies, evaluations and other resources in this collection provide a picture of what the response to climate change looks like in various communities and the ways philanthropy has supported and can continue to support these efforts. Candid's ebook library is a curated collection of free online literature on topics pertinent to the social sector, such as fundraising, nonprofit management, social entrepreneurship, and board development. It is accessible to anyone, anywhere, anytime. In 2023, 3,371 titles were borrowed from our collection, a 195% increase over 2022. Our online librarian service made it easy for people to engage with our team of experts to get answers to their questions about foundations, philanthropy, fundraising, and nonprofits. In 2023, our online librarian service responded to more than 12,000 live chats and email inquiries. Through our social media, news, newsletters, and blogs, we are growing the global candid community and increasing public awareness of current issues and trends in the sector. As of december 2023, candid had 141,815 twitter/x followers, 67,101 facebook followers, 42,509 linkedin followers, 10,657 youtube subscribers, and 7,615 instagram followers. Major data collection & analysis accomplishments in 2023 include the following: real time - build a real-time global data collection system to capture funding flows, news, and outcomes. Building a more robust data collection system that captures real-time data is a vital step towards getting the sector the information it needs. In 2023, we ramped up our efforts to expand our data collection by improving our news scraping capabilities, building partnerships, and encouraging organizations to share their data with us. Our teams have been working to enhance our u.s. Data to create the freshest, most comprehensive database of u.s. Foundation and nonprofit activity and provide users with the best sources of actionable real-time information. During 2023, we captured and shared data on more than 8,400 open funding opportunities and have updated our databases with more than 1.6 million grants made in 2022 or later. Candid continues to set data standards for philanthropy and enable foundations to share their data directly with us. In 2023, 378 funders submitted data to candid, including 46 funders that contributed data to us for the first time. Funders who shared data totaled more than $112 billion across multiple fiscal years. Of the grants reported, 48% were for fy22 or later. These are grants that are not yet available on public irs 990-pf forms. By sharing grants data directly, funders are helping power several resources that serve the social sector. These include foundation directory, foundation maps, research reports, and more. Full story - explain the social sector's contributions to society through fresh insights grounded in a multi-year research agenda. Candid is committed to providing our audiences with a full picture of organized philanthropy in its many forms, far beyond just the basic facts. We produced two major new research reports in 2023: - philanthropy and hbcus: foundation funding to historically black colleges and universities: this report, created and published by candid and abfe, is the most comprehensive analysis of philanthropic support to historically black colleges and universities (hbcus) to date. We hope that this work helps spark conversation about the critical role of philanthropy in the sustainability and capacity building of hbcus. The report includes quantitative analysis of 18 years of funding data to 103 hbcus and interviews with hbcu staff, students, and funders. - 2023 nonprofit compensation report: we released the 23rd edition of our annual nonprofit compensation report that reviews key employee compensation based on 200,302 observations from 123,589 forms 990 and 990-ez filed by 501(c) organizations. It includes compensation analysis of nonprofits by budget size, cause area, gender, position, and more. It is the only large-scale analysis of its kind based entirely on data reported to the irs and continues to be the most comprehensive nonprofit compensation study available. We continue working on our 3-year research agenda on black leadership and racial representation in the nonprofit sector, in partnership with abfe, and have another report slated to launch in 2024. Our team has also been sharing insights throughout the year by publishing thought leadership pieces using our data on the candid blog. PART V, LINE 4:

Candid's endowment funds and board-designated amounts for long-term investment consist of permanently restricted net assets (endowment funds) and a board-designated amount for long-term investment. The permanently restricted net assets (endowment funds) are subject to donor-imposed stipulations that the principal be maintained permanently by candid. Candid has three separate endowments and it is permitted to use the income earned on the related investments for general purposes, library acquisitions and public education. The board-designated amount for long-term investment is a fund set aside by the board of trustees for long-term investment that ensure candid's financial strength and agility, and provide a reserve fund in the event of a financial emergency.

PART X, LINE 2:

Candid recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that candid had no uncertain tax positions that would require financial statement recognition or disclosure. Candid is no longer subject to examination by the applicable jurisdictions for periods prior to december 31, 2020.
