Form 990, Part VI, Section A, Line 4

The bylaws were amended in february 2020. Significant changes included: 1. Adds vice-chair officer role, in addition to chair's role to extension of term beyond three term limit.

Form 990, Part VI, Section B, Line 11B

Candid's form 990 is prepared by the outside accounting firm, pkf o'connor davies. The form 990 is then reviewed by the organization's vp of financial strategy and president. Subsequently, the audit committee of candid's board of trustees and the full board receive an electronic copy of the form 990 and reviews the return. After responding to all inquiries and making any necessary changes, the final form 990 is provided to all members of the board prior to its filing with the irs.

Form 990, Part VI, Section B, Line 12C

A conflict of interest disclosure statement is obtained annually from all trustees, officers, manager and other key employees who are currently serving candid. A report summarizing the disclosure statements is provided to the board of trustees annually. It is candid's policy that in the event of a conflict the following is done: if there is a conflict relevant to a matter requiring action by the board of trustees, the interested person shall call it to the attention of the board of trustees, and the trustee concerned shall not vote on the matter. Moreover, the person having a conflict may answer questions that shall arise from the board of trustees, but shall retire from the room in which the board is meeting and shall not participate in any deliberation or decision regarding the matter under consideration. When there is doubt as to whether a conflict of interest exists, the matter shall be resolved by vote of the board of trustees or its committee, excluding from the room and the vote the person whose situation will be discussed. When a conflict of interest arises for any staff member except the president, that staff member shall report it to the president in writing. A conflict of interest relating to the president shall be reported in writing to the chair of the board. In addition, if the conflicted party has a substantial financial interest in the matter, the board would need to consider alternatives.

Form 990, Part VI, Section B, Line 15

Candid's board of trustees, consisting of independent persons, establishes compensation for the president and reviews the compensation for the other officer(s) and vice presidents on an annual basis. Prior to making compensation decisions, the board obtains information on the compensation of functionally comparable positions for similarly qualified persons at similarly situated organizations and/or benchmark salaries for select positions obtained from salary surveys. Documentation of the deliberations and decisions were made via email. The compensation review process was last undertaken in november 2020.

Candid's data tools on nonprofits, foundations, and grants are the most comprehensive in the world. Candid gets you the information you need to do good.

FORM 990, PART III, LINE 4A:

Major data collection and publications program accomplishments in 2020 include the following: our work focused on data in 2020 included the following products and services: foundation directory online (fdo) fdo provides subscribers with access to timely, comprehensive information on u.s. Grantmakers and their grants, plus a growing number of foundations located outside of the u.s. The professional version of fdo is accessible to organizations and community stakeholders at no cost through our funding information network (fin). We continued to make enhancements to fdo to best serve our users. In 2020 we added two key functions: fdo search results now display guidestar seals of transparency and rfps. Funders use the seals of transparency to guide their giving strategies. Seals provide them with the information they need to understand a nonprofit's impact and help them determine the causes they support. Now in fdo, search results and recipient profiles include guidestar seals of transparency. Also, when you search for a grantmaker in fdo, the results now include the number of rfps currently available from that funder and links to the rfp with their deadlines. Foundation maps foundation maps is candid's premier data visualization tool and the easiest way to see who is funding what and where around the world. With millions of grants from 2006 to the present, innovative ways to visualize funding data, and the flexibility and precision to tailor research, foundation maps helps funders and nonprofits access the knowledge they need to make strategic decisions and strengthen their impact. Global data candid has forged deep, substantive relationships with global, regional, and country-level organizations to facilitate data-gathering and knowledge-sharing by their memberships. As the leader in philanthropic data collection and dissemination, we assist organizations around the globe in collecting and organizing their region's philanthropy data by sharing what we have learned over the past 64 years about data acquisition and data architecture. In 2020 we launched the community philanthropy directory, a free global database of community philanthropy organizations and a reference tool for the field of community philanthropy, and a report titled measuring what matters in collaboration with the global fund for community foundations and philanthropy for social justice and peace. Guidestar our guidestar database currently includes data on 1.8 million registered nonprofits, making it easier to understand who they are and what they do. We continue to improve upon the way we collect and display our data to help nonprofits share their work in the most meaningful ways. Since launching the platinum seal in may 2016, nonprofits have been able to report progress toward their mission in quantitative terms that include output and outcome metrics. We have found that platinum profiles get 50 percent more views than other guidestar nonprofit profiles.as of december 2020, more than 11,500 organizations have earned the platinum seal. Previously, all demographic data was in an optional section of the guidestar profile and did not affect an organization's ability to earn a guidestar seal of transparency because we recognize collecting this data can be a challenge. We do believe that it is important to share the demographic information of organizations' leadership, and in 2020 we made just this aspect of the demographic data collection necessary to earn the gold seal of transparency. This feature allows users to identify bipoc-led organizations. The act of sharing demographic data often causes staff to reflect on their respective organizations' equity journeys, helps us learn more about where we are collectively as a sector, and gives a more complete organizational picture to funders. In 2020 we launched the bulk check feature, which will allow annual charity check and guidestar pro subscribers to run a single report that provides the charity check status of all or

Major library/learning center and other public services accomplishments in 2020 include the following: with the generous support of our donors, we are leveling the playing field for under-resourced nonprofits and social sector leaders to increase their effectiveness at a local, national, and global level. In 2020, we had to change how and where we served our audiences. What started with postponing a few classes in cities where covid-19 hit hard quickly led to large-scale course cancellations. With dozens of in-person candid events scheduled to take place across the u.s. Each month, we shifted to make all our trainings virtual for the foreseeable future. We continued to serve millions of people online and adapted by providing virtual access to our databases through our 400+ funding information network partner locations (fins). Candid learning grantspace is now candid learning. In july 2020, we launched candid learning, a single destination for trainings, resources, and learning experiences. It incorporates all live trainings, on-demand learning resources, and tools previously found on grantspace. Candid learning also includes pathways to content from grantcraft and glasspockets. Through sharing peer wisdom, case studies, and thought leadership, grantcraft and glasspockets offer opportunities to improve philanthropic effectiveness. Candid's educational model offers a combination of in-person and online trainings. In march 2020, our program staff worked diligently to shift our core, in-person classes to online programming while also developing new and timely programs to support nonprofits as they struggle to navigate the new landscape. Events in the series included: raising funds in the covid-19 era, attaining corporate and philanthropic support during covid-19, shifting your events online during covid-19, and many more. Libraries are critical social infrastructure, especially in times of crisis. With access to public spaces severely limited due to the pandemic, we were grateful to have our ebooks library accessible to anyone, anywhere, anytime. This virtual library is a curated collection offree online literatureon topics pertinent to the social sector, such as fundraising,nonprofit management, social entrepreneurship, and board development. In addition to our online learning tools and in-person trainings, our online librarian service made it easy for people to engage with our team of experts to get answers to their questions about foundations, philanthropy, fundraising, and nonprofits. We also continued to provide access to audiences that are often underserved. Through candid learning we provide articles, webinars, tutorials, and other materials in spanish. Our key training resources are available for download in both english and spanish, and we continue to serve people with visual impairments. Funding information network (fin) candid's fin consists of 400+ community-based organizations that strengthen their localities by offering a suite of our trainings and databases free of charge to the public. Due to the covid-19 pandemic, we enabled our fins to offer their communities free, temporary, remote access to foundation directory online (fdo) for their fundraising research needs. Opening access in this way helped increasingly precarious nonprofits use our fins to access our products despite widespread lockdowns. Cf (community foundation) insights cf insights is the leader in data collection and research for the community foundation field in the u.s. With a reputation for benchmarking and analysis of trends. Cf insights continued to deliver a high level of service to its members, published the annual update to the columbus survey, and launched a new community leadership assessment tool. In the summer of 2020, cf insights released the columbus survey results dashboard, which provides access to the most up-to-date, comprehensive dataset reflecting the current financial state of community foundations in the u.s. Major research and other programs accomplishments in 2020 include the following: candid develops data-driven tools and content-rich platforms for funders and their networks, consultants, advisors, and grantees that are designed to answer fundamental questions such as: who is funding what and where? How can we know what other funders know? How can we make the most of what we are learning? Foundation landscapes we create knowledge portals that give users a better perspective on individual issue areas. We use data visualization tools, news, and original research to illuminate key issues in philanthropy. These projects, known as foundation landscapes, are designed for ongoing updates and make it easy for donors to scan the landscape to reveal opportunities, needs, and gaps and see how their past, current, and future efforts fit into the broader field. In 2020, candid launched four new foundation landscapes: philanthropic response to coronavirus (covid-19), solutions bank, powerof, and philanthropy in east africa. We also made significant updates to our funding for racial equity special issue page. We regularly update our coronavirus special topic pageto share the philanthropic response to covid-19, including more than $16 billion in grants, funding opportunities, rfps, newly created funds, webinars, blog posts, and the latest news. This page is meant for nonprofits seeking support because of the crisis, funders who wish to learn what their peers are doing, the media, and all who wish to know more about philanthropy's response to the pandemic. Solutions bank [solutionsbank.candid.org], built in partnership with the john d. And catherine t. Macarthur foundation and lever for change, is your go-to resource for accelerating social change around the world's biggest challenges. It includes proposals submitted by competitions managed by lever for change, an affiliate of the macarthur foundation. No single foundation can fund them all, but as a field, we can discover and fund big solutions that organizations have already mapped out. The solutions bank demonstrates how a proposal market place which would save time for bothgrantmakersand grantees could work. Powerof.org is a collaborative effort from several social sector organizations including the bill & melinda gates foundation, candid, charity navigator, donorschoose, giving compass, giving tuesday, globalgiving and volunteermatch. It was launched to connect people who want to make a difference with organizations addressing the impact of covid-19. The site aggregates thousands of listings from these partners and allows anyone to easily search within a specific geography or area of need, such as supporting schools or aiding direct response work in local communities. Philanthropy in east africa [phileastafrica.org], built in partnership with east africa philanthropy network, illuminates the philanthropic community in kenya, uganda, and tanzania. This free website features research, the latest available funding data, insights, history, and other resources tohighlightthephilanthropic work in the region. The website centralizes information and helps users connect to the philanthropic community in east africa. Along with elevating the current work in these countries,thesitehighlights future trends, strategies, and initiatives and provides avenues for people and organizations to work together on the causes that matter to the most. We partnered with the peace and security funders group to launch the 2020 version of the peace and security funding index through which we aim to illuminate this field of grantmaking and provide a nuanced understanding of the issues and strategies. The index tracks funding for work to prevent future conflict, resolve existing conflict, and support stability and peace across 24 issue areas (e.g., peacebuilding, nuclear issues). It includes grantmaking by institutional funders, including private foundations, public charities, and community foundations. Candid and the campaign for black male achievement launched the black male achievement legacy collection, an archive of knowledge and resources that have been curated over our nine-year partnership. This collection of more than 250 reports offers data, analysis, and recommendations to strengthen the field of black male achievement.

The organization holds security deposits for tenants in an escrow account. These deposits are returned to the tenants upon termination of their leases.

PART V, LINE 4:

Candid's endowment funds and board-designated amounts for long-term investment consist of permanently restricted net assets (endowment funds) and a board-designated amount for long-term investment. The permanently restricted net assets (endowment funds) are subject to donor-imposed stipulations that the principal be maintained permanently by candid. Candid has three separate endowments and it is permitted to use the income earned on the related investments for general purposes, library acquisitions and public education. The board-designated amount for long-term investment is a fund set aside by the board of trustees for long-term investment that ensure candid's financial strength and agility, and provide a reserve fund in the event of a financial emergency.

PART X, LINE 2:

Candid recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that candid had no uncertain tax positions that would require financial statement recognition or disclosure. Candid is no longer subject to examination by the applicable jurisdictions for periods prior to december 31, 2017.
