Manhattan college is a lasallian catholic educational institution founded in 1853 by the de la salle christian brothers, a religious teaching order started by saint john baptist de la salle, the patron saint of teachers. Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 return was prepared by the College and then reviewed by an outside accounting firm with expertise in non-for-profit, education and taxes among other areas of expertise. A complete copy of the 990 return was given to the Chair of the Audit Committee of the Board of Trustees for review prior to filing. A complete copy of the return will be given to all Board members electronically prior to filing. After distribution of the return, the Chair of the Audit Committee reviews the return with the full Board of Trustees at the next meeting of the Board.

Form 990, Part VI, Section B, Line 12C

The Conflict of Interest Policy is included in the Employee Handbook and covers all College staff. Annually, the Office of Human Resources requires all senior academic and administrative staff, those in a position to influence College decisions, and members of the Board of Trustees to sign and return a copy of the Conflict of Interest Form. Covered persons having a conflict are required to call it to the attention of the Vice President for Finance and the Vice President of Human Resources. All conflict of interest issues are investigated by the Office of Human Resources/Vice President of Human Resources. If needed the Vice President of Human Resources confers with the appropriate personnel ie: Vice President, Board Committee, President and or chair of the Board to resolve conflicts of interest. A covered person having a conflict of interest shall not participate in any decision making meeting on the subject, will not make a decision on the matter, and will not try to influence the College's decision.

Form 990, Part VI, Section B, Line 15

The process in 2019 to approve the renewal of the President's employment agreement for an additional 5 years (7/1/2019 to 6/30/24) consisted of the VP of Human Resources working with attorneys specializing in higher education and benefits/pensions and a sub-committee of trustees from the Board's Executive Committee. In order for the trustees to consider contract terms and compensation data was compiled of presidents' compensation from 25-30 colleges deemed to be similar to Manhattan College, plus the CUPA Administrative Compensation Survey. The trustees also had access to a summary of the value of current compensation for the President and knowledge of the President's performance and achievements for the college. After review and consideration of these factors, the sub-committee presented the data and proposed employment agreement terms to the Executive Committee, which in turn presented the agreement for approval by the Board of Trustees. Salaries for Officers and key employees are reviewed on an annual basis and are in line with salary surveys that report on IHE salaries (ie: CUPA Administrative Compensation Survey). The salaries are reviewed by the Vice President of Human Resources and the President of the College. In 2019, an outside consultant specializing in higher education executive compensation reviewed the salaries of the Secretary, Treasurer, Assistant Treasurers, Provost and Vice President Facilities. The Vice President of Human Resources also works with the Vice President of Finance. Records are maintained by Manhattan College documenting the compensation review process.

Included in the Manhattan College Archives are donated works of art. Donations of art work are made to Manhattan College to be used for educational purposes. The art work is housed in the Manhattan College Archives throughout the O'Malley Library in order to make it available to professors planning their course work and students for study and analysis.

The College's endowment consists of 291 individual funds established for a variety of purposes, including both donor restricted endowment funds and funds designated by the College to function as endowments (quasi-endowment). The majority of the donor restrictions are for scholarship.
