Potential new members of the Corporation are nominated by the Governance Committee. These nominees are voted on by the Corporation. The members of the Corporation have the right to participate in the College's governance by electing members of the Board of Trustees.

Form 990, Part VI, Section B, Line 11B

The Board of Trustees receives a copy of the full 990 (except for Schedule B) in order to review and have the opportunity to ask questions. Schedule B is omitted to preserve the anonymity of certain donors. The Board Chair reviews Schedule B to be aware of any potential conflicts that may exist. In addition the Audit Committe of the Board of Trustees reviews the draft (with the exception of Schedule B) in detail before it is finalized.

Form 990, Part VI, Section B, Line 12C

Each year the Vice President and Chief Financial Officer (VP & CFO) distributes a questionnaire to all officers, trustees and other employees covered by the policy. The questionnaires are completed and returned to the VP and CFO who summarizes the results. She then reports the results to the Chair of the Board of Trustees, the Chair of the Corporation, and the President so they are aware of any potential conflict. Any persons with a conflict may be prohibited from participating in deliberations and decisions relating to the matter. The Chair of the Board or the Chair of each committee of the Board is responsible for determining if an individual is barred from voting on a particular matter.

The review and approval of the President's compensation is done by the Chair of the Board and the Executive Committee of the Board of Trustees each year. None of these individuals had any conflict of interest with respect to this compensation. From time to time an independent consultant is also engaged to determine appropriate compensation particularly when a new contract is issued. Presidential compensation at similar colleges is reviewed to compare to the presidential compensation at Wheelock. The terms of the President's compensation package are approved and documented by the Executive Committee of the Board of Trustees. The Board approves any compensation increase or bonus to the officers and from time to time benchmarks compensation of key employees against peer institutions. In addition, the President annually benchmarks key employees' compensation against an annual industry survey.

Wheelock's Endowment provides support for the day to day operations of the College including financial aid, scholarships, and furthering the mission of the College.

Schedule D, Part X, Line 2

The College is recognized as an organization exempt from income tax under Section 501(c)(3) of the Internal Revenue Code. However, certain activities of exempt organizations, to the extent profitable, may be subject to Federal and state taxation as unrelated business income. Given the limited taxable activities of the College, management determined that disclosures relative to tax provisions are not necessary. The College accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liablity for all uncertain tax positions. The College has identified its tax status as a tax exempt entity as its only significant tax position and has determined that such tax position does not result in an uncertainty requiring recognition. The College is not currently under examination by any taxing jurisdiction. The College's Federal and state income tax returns are generally open for examination for the past three years.
