Governance Explanations

Form 990, Part VI, Section A, Line 2

Directors bono and mo ibrahim have a business relationship. Both are directors of an unrelated investment fund.

Form 990, Part VI, Section A, Line 6

The organization has one class of members that consists of three individuals.

Form 990, Part VI, Section A, Line 7A

The members are responsible for electing and removing the members of the governing body or their delegates.

Form 990, Part VI, Section A, Line 7B

The members must approve changes made to the organization's bylaws.

Form 990, Part VI, Section B, Line 11B

The form 990 was prepared by the outside accountants and reviewed by the corporation's cfo and coo/treasurer, the board's audit committee, the ceo and legal counsel. The board received a copy of the 990 before it was filed with the irs.

Form 990, Part VI, Section B, Line 12C

The first step in addressing conflicts of interest is disclosure. A director or employee who believes that he/she is perceived as having a conflict of interest in a discussion or decision discloses that conflict to the group making the decision before a decision is made, a contract is signed, or a transaction is initiated. Most concerns about conflicts of interest may be resolved and appropriately addressed through prompt and complete disclosure. The audit committee is responsible for making all decisions concerning resolutions of conflicts involving executive managers, the coo, the president/ceo (pc), and selected other members of senior management, as needed. If the reportable conflict involves a member of the audit committee other than the chair of the audit committee, the chair is responsible for making all decisions concerning resolutions of conflicts involving the audit committee member. If the conflict involves the chair of the audit committee, the chair of the board is responsible for making all decisions concerning resolutions of the conflict. The coo is responsible for making all decisions concerning resolutions of conflicts involving employees below the executive management level, subject to the approval of the pc and the audit committee, as needed. Any employees may appeal a determination that an actual or apparent conflict of interest exists. Appeals of resolutions by the coo and pc are directed to the chair of the audit committee. If the resolution is made by the audit committee, then the appeal is made to the chair of the board. Appeals must be made within 30 days of the initial determination. Resolution of the appeal is made by vote of a quorum of the full board of directors. Board members who are the subject of the appeal, or who have a conflict of interests with respect to the subject of the appeal, abstain from participating in, discussing, or voting on the resolution, unless their discussion is requested by the remaining members of the board. Given the importance of resolving conflicts of interest, violations of this policy, including failure to disclose conflicts of interest, may result in termination of a director, pc, or member of senior management (at the direction of the audit committee) or employee (at the direction of the pc or chair of the audit committee).

Form 990, Part VI, Section B, Line 15A

The board of directors reviews and adjusts the ceo's salary using comparable data, including the form 990's of other organizations, compensation surveys, and an independent compensation consultant. Any adjustment to the ceo's salary is at the board's discretion and is documented in the board minutes. The last compensation review took place in january 2019.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.

FORM 990, PART VII, SECTION A:

Jamie drummond is not an officer of the organization, he is one of the founders of the organization and as such, has board voting rights. The compensation received is related to his services as an employee and unrelated to his board duties. While no longer serving in his role as an employee (as of april 2019) he remanis to serve in his role as a voting board member.

FORM 990, PART I, LINE 1, DESCRIPTION OF ORGANIZATION MISSION:

Diseases in the developing world. In 2019, one educated the public, media and policy makers in all markets in which it works on the achievements and case for investment of the global fund for aids, tb and malaria, in anticipation of its sixth replenishment conference, held in lyon, france. One educated its grassroots supporters, the media, and pop culture influencers. It developed a "constituency calculator" to highlight how local jurisdictions are helping save lives through the global fund. The fund reached its historic target of $14b in committed funds from its donors, including a significant commitment from (red). One conducted a year-long project ahead of the french-hosted g7 summit in biarritz, france, to raise awareness of the importance of gender equality. One raised awareness of the need for measures to support gender equality, such as the establishment of an independent organization to track the implementation of gender laws, increasing digital financial access, and better partnership with africa. One's work was amplified by a series of finance-themed #progressnotpromises materials - including branded 'banknotes' flyers shared with decision makers in paris, ottawa, berlin, london, and brussels. These urged ministers to discuss financial inequality and to work to give 240 million african women access to digital financial services. One also produced a popular marvel's avengers-themed video campaign "agenda: inequality - the g7 must change the endgame" to engage the public with the issue of gender equality ahead of the summit, depicting each of the g7 leaders as one of marvel's avengers. The video amassed 1.4 million views across social media and reached over 2 million people. Throughout the year, one continued its work to educate and raise awareness with the public, media and policymakers in north america, europe and africa on key issues.
