The sections 6.6, 6.8 and 6.9 (stated below) of the amended and stated bylaws of the nuclear age peace foundation (restated march 2, 2007) and sections 6.5 and 6.7 (stated below) of the second amendment to the amended and restated bylaws of the nuclear age peace foundation (restated march 2, 2007) were amended and restated in the third amendment (stated below) to the amended and restated bylaws of the nuclear age peace foundation (restated march 2, 2007) in sections 6.5, 6.6, 6.7, 6.8, 6.9, and 6.10. These sections were previously stated as follows: amended and restated bylaws of nuclear age peace foundation (restated march 2, 2007) section 6.6 president subject to the control of the board, the president shall have general supervision, direction and control of the affairs of the corporation. The president shall preside in the absence of the chair and vice chair of the board, or if there is none, at all meetings of the board. The president shall have such other powers and duties as may be prescribed by the board. Section 6.8 secretary the secretary shall attend all meetings of the board, keep or cause to be kept the books and records of the corporation and shall give, or cause to be given, notice to directors of all meetings of the board. The secretary shall have such other powers and perform such other duties as may be prescribed by the board. Section 6.9 treasurer the treasurer shall receive and safely keep all funds of the corporation and deposit them in the bank or banks designated by the board and shall disburse the funds of the corporation only as authorized by the president or the board and only upon checks of the corporation signed by the president or the treasurer or such other person or persons as the board may specify by resolution. The treasurer shall keep and maintain current books and records of account of the corporation, and shall render to the president and to the board, upon request, an account of all transactions by the treasurer and of the financial condition of the corporation. The treasurer shall have such other powers and perform such other duties as may be prescribed by these bylaws and by act of the board. Second amendment to amended and restated bylaws of nuclear age peace foundation (restated march 2, 2007) in accord with section 9.3 of the above-referenced amended and restated bylaws of the nuclear age peace foundation, the board of directors adopted amendments to the bylaws of the foundation at their meeting of april 19, 2012. The following bylaw sections are hereby amended to read: section 6.5 chair of the board; vice chair of the board the chair of the board shall preside at meetings of the board and executive committee and shall have such other powers and perform such other duties as may be prescribed by the board. The vice chair of the board shall preside at meetings of the board and executive committee in the absence of the chair, shall assist the chair in the performance of the chair's duties as the chair from time to time may request, and shall have such other powers and perform such other duties as may be prescribed by the board. Section 6.7 vice president the vice president (or vice presidents, if more than one) shall assist the president in the performance of the president's duties as the president from time to time may request. In the absence of the president, the vice president, as designated by the chair of the board or president, shall perform all of the functions of the president, and when so acting shall have all the powers of and be subject to all restrictions upon the president and shall not act as secretary or treasurer. The vice presidents shall have such other powers and shall perform such other duties as may be prescribed by the board. Executive committee nuclear age peace foundation had an executive committee during 2013 consisting of mark hamilton, richard falk, george haynes, david krieger, rob laney, peter macdougall, sherry melchiorre and steve parry. The committee meets regularly between board meetings. In 2013, the executive committee did not meet. An executive committee, constituted of all of the officers of the foundation and the chairs of standing committees, shall exercise the powers of the board in the interim between board meetings, ensure effective delegation from the board to the president, and organize the work of the board, including the board's agenda. The chair of the board shall be the chair of the executive committee. In the absence of the chair, the presiding office shall be determined as set forth in the bylaws. Meetings of the executive committee are open to all board members.
