Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the operations manager, the executive director, and the board treasurer and presented to the full board for review and acceptance prior to being finalized. In depth review is done by the operations manager, executive director, and the board treasurer in draft form. The draft is then distributed to all board members electronically prior to being filed so that the board members will have the opportunity to review it and address any questions to the executive director, treasurer, and tax preparer.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy which applies to directors, officers, and employees, and to volunteers who have budget responsibility. The policy explains areas in which conflicts may arise with third parties; and the nature of conflicting interests, both directly or indirectly with persons or entities. Transactions with parties with whom a conflicting interest exists may be permitted only if all of the following requirements are met: a)the conflicting interest must be fully disclosed as described below; b)the person with the conflict of interest must be excluded from discussion and approval of the transaction; c)a competitive bid or comparable valuation just exist; and d)the board or a duly constituted committee thereof must determine that the transaction is in the best interests of ryman arts. Disclosure should be made directly or indirectly to the president, who shall bring the matter to the attention of the board or a duly constituted committee thereof. The decision of the board or such committee thereof will be in its sole discretion. Each director, officer, employee or volunteer with budget responsibility is required to submit an annual conflict of interest disclosure form by february 15th of each year. The board or its appointed committee reviews the forms and addresses any potential or actual conflicts.

Form 990, Part VI, Section B, Line 15A

Ryman art's board of directors has a process for reviewing and approving the compensation of officers and key employees on a regular basis to determine it is fair and reasonable with the goal of retaining employees at compensation levels within appropriate market range. The process for determining the compensation paid to the executive director includes the approval of the compensation arrangement in advance, with all persons with a conflict of interest abstaining from the deliberation and discussion of the transaction. The executive committee of the board reviews data of comparable compensation for similarly qualified nonprofit executives at similarly situated entities, including an analysis of southern california nonprofit management field surveys. Also, an outside compensation consultant is utilized. The documentation in the minutes includes the terms of the transaction and the date of approval, the members who were present during the debate and vote on the transaction, a description of the comparable data and how it was obtained, and documentation of the basis for the determination.

Ryman-carroll foundation has an audit committee that assumes the responsibility for oversight of the audit or its financial statement and selection of an independent accountant.

Financial Statement Notes

PART III, LINE 1A:

Ryman-carroll foundation's art collection, which was acquired through contributions since the organization's inception, is not recognized as assets on the statement of financial position. Purchases of collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired or as temporarily restricted net assets if the assets used to purchase the items are restricted by donors. Contributed items are not reflected on the financial statements. Proceeds from sales of art collection, de accessions, or insurance recoveries are reflected as increases in the appropriate net asset classes.

PART V, LINE 4:

The endowment fund was established to suppport the long term operations of the organization. Contributions were made at inception and continue to be made by donors.

PART X, LINE 2:

Ryman arts is a non-profit organization, qualifying under section 501(c)(3) of the internal revenue code, and section 23701d of the california revenue and taxation code and is not classified as a private foundation. Non-profit organizations are not generally liable for taxes on income; therefore, no provision is made for such taxes in the financial statements. Ryman arts evaluates its uncertain tax positions using provisions in conformity with u.s. Gaap. Accordingly, a loss contingency is recognized when it is probable that a liability has been incurred as of the date of the financial statements, and the amount of the loss can be reasonably estimated. The amount recognized is subject to estimate and management judgment with respect to the likely outcome of each uncertain tax position. The amount that is ultimately sustained for an individual uncertain tax position or for all uncertain tax positions in the aggregate could differ from the amount recognized. Management believes the income tax positions taken more likely than not will be sustained under examination by the applicable tax authorities. Since tax matters are subject to some degree of uncertainty, there can be no assurance that ryman arts' tax returns will not be challenged by the taxing authorities and that ryman arts will not be subject to additional tax, penalties, and interest as a result of such challenge.

ALL STUDENTS PARTICIPATED IN THE 2020 FALL COLLEGE PREPARATION WEEKEND, A VIRTUAL TWO-DAY EVENT WHERE REPRESENTATIVES FROM 21 COLLEGES AND ARTS SCHOOLS FROM ACROSS THE COUNTRY (RANGING FROM RHODE ISLAND SCHOOL OF DESIGN TO LAGUNA COLLEGE OF ART AND DESIGN) MET WITH RYMAN ARTS STUDENTS, REVIEWED PORTFOLIOS, AND HOSTED FINANCIAL AID AND OTHER WORKSHOPS FOR STUDENTS AND PARENTS. ADDITIONALLY, OVER THE COURSE OF THE TWO SEMESTERS, STUDENTS HAD THE OPPORTUNITY TO HEAR FROM 15 GUEST ARTISTS THROUGH RYMAN ARTS' VIRTUAL GUEST ARTIST TALK SERIES, FEATURING PROMINENT MID-CAREER ARTISTS TO PROFESSIONALS IN A VARIETY OF CREATIVE FIELDS.SINCE 1990, RYMAN ARTS HAS TAUGHT FOUNDATIONAL DRAWING AND PAINTING SKILLS TO TALENTED HIGH SCHOOL STUDENTS, PROVIDING OUTREACH TO YOUTH ACROSS SOUTHERN CALIFORNIA, AND THE SUPPORT AND RESOURCES ESSENTIAL TO PURSUING AND ACHIEVING HIGHER EDUCATION. IN DOING SO, RYMAN ARTS FURTHERS THE TALENT AND PROMISE OF AN UNDERSERVED POPULATION THAT WOULD OTHERWISE HAVE FEW OPPORTUNITIES-AND PLENTY OF ROADBLOCKS-TO THRIVE ARTISTICALLY AND ACADEMICALLY AT A CRITICAL TIME IN THEIR LIVES.FOR OVER 31 YEARS, RYMAN ARTS HAS IMPACTED OVER 27,000 STUDENTS THROUGH ITS CORE PROGRAM, OUTREACH EFFORTS, AND COMMUNITY ACTIVITIES. DURING THESE CHALLENGING TIMES, RYMAN ARTS' SERVICES ARE MORE CRUCIAL THAN EVER AS WE CONTINUE TO PROVIDE KEY ARTS EDUCATION ACCESS.
