Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the director of finance & operations, the executive director, and the board treasurer and presented to the full board for review and acceptance prior to being finalized. An in depth review is performed by the director of finance & operations, executive director, and the board treasurer in draft form. The draft is then distributed to all board members electronically prior to being filed so that the board members will have the opportunity to review it and address any questions to the executive director, treasurer, and cpa firm.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy which applies to directors, officers, and employees, and to volunteers who have budget responsibility. The policy explains areas in which conflicts may arise with third parties; and the nature of conflicting interests, both directly or indirectly with persons or entities. Transactions with parties with whom a conflicting interest exists may be permitted only if all of the following requirements are met: a)the conflicting interest must be fully disclosed as described below; b)the person with the conflict of interest must be excluded from discussion and approval of the transaction; c)a competitive bid or comparable valuation just exist; and d)the board or a duly constituted committee thereof must determine that the transaction is in the best interests of ryman arts. Disclosure is made directly or indirectly to the president, who brings the matter to the attention of the board or a duly constituted committee thereof. The decision of the board or such committee thereof will be in its sole discretion. Each director, officer, employee or volunteer with budget responsibility is required to submit an annual conflict of interest disclosure form by february 15th of each year. The board or its appointed committee reviews the forms and addresses any potential or actual conflicts.

Form 990, Part VI, Section B, Line 15A

Ryman art's board of directors has a process for reviewing and approving the compensation of officers on a regular basis to determine it is fair and reasonable with the goal of retaining employees at compensation levels within appropriate market range. The process for determining the compensation paid to the executive director includes the approval of the compensation arrangement in advance, with all persons with a conflict of interest abstaining from the deliberation and discussion of the transaction. The executive committee of the board reviews data of comparable compensation for similarly qualified nonprofit executives at similarly situated entities, including an analysis of southern california nonprofit management field surveys. Also, an outside compensation consultant is utilized. The documentation in the minutes includes the terms of the transaction and the date of approval, the members who were present during the debate and vote on the transaction, a description of the comparable data and how it was obtained, and documentation of the basis for the determination.

Financial Statement Notes

PART III, LINE 1A:

Ryman-carroll foundation's art collection, which was acquired through contributions since the organization's inception, is not recognized as assets on the statement of financial position. Purchases of collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired or as temporarily restricted net assets if the assets used to purchase the items are restricted by donors. Contributed items are not reflected on the financial statements. Proceeds from sales of art collection, de-accessions, or insurance recoveries are reflected as increases in the appropriate net asset classes.

PART III, LINE 4:

Proceeds from sales of art collection help support the talented and promising high school students in achieving higher education. In doing so, ryman arts furthers the talent and promise of an underserved population that would otherwise have few opportunities and plenty of road blocks to thrive artistically and academically at a critical time in their lives.

PART V, LINE 4:

The endowment fund was established to support the long term operations of the organization. Contributions were made at inception and continue to be made by donors. The asset allocation targets for this endowment are developed to facilitate the achievement of the endowment's longterm investment objectives within the established risk parameters. Endowment assets shall be invested in accordance with the target percentage and allowable ranges for each asset class as shown below. It is recognized that unanticipated, shortterm market shifts or changes in economic conditions may cause the asset mix to vary from the policy target. The committee will review these targets at least annually and whenever the investment horizon for any portion of the endowment changes. There will be an orderly process to reach strategic targets. As of december 31, 2024 and 2023, the target allocation policy of the ryman arts' endowment is as follows: us equity target is at 42%, non-us equity is at 24%, fixed income at 27%, and liquid alternatives at 7%. PART X, LINE 2:

Ryman arts is exempt from taxation under internal revenue code (irc) section 501(c)(3) and california revenue and taxation code section 23701d and is generally not subject to income taxes. Accordingly, a provision for federal or state income taxes is not recorded in the accompanying financial statements. Ryman arts is classified as an organization that is not a private foundation pursuant to sections 509(a)(1) and 170(b)(1)(a)(vi) of the irc. U.s. Gaap prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. Ryman arts has evaluated its tax positions and the certainty as to whether those positions will be sustained in the event of an audit by taxing authorities at the federal and state levels. The primary tax positions evaluated relate to ryman arts' continued qualification as a tax-exempt organization and whether there are substantial unrelated trade or business income activities. Management has determined that all income tax positions, based on the technical merits of the position, will more likely than not be sustained upon potential audit or examination. Therefore, no disclosures of uncertain income tax positions are required. Ryman arts' information returns remain subject to examination generally for three and four years after they are filed for federal and state, respectively.

IN FALL 2024, 960 STUDENTS, ALUMNI, AND THEIR FAMILIES PARTICIPATED IN THE COLLEGE PREPARATION WEEKEND, A VIRTUAL TWO-DAY EVENT OFFERING 23 SESSIONS. REPRESENTATIVES FROM COLLEGES AND ARTS SCHOOLS NATIONWIDE CONDUCTED PORTFOLIO REVIEWS, ADMISSIONS SESSIONS, AND FINANCIAL AID WORKSHOPS FOR STUDENTS AND PARENTS. CONTINUED ON SCHEDULE O.THROUGHOUT THE YEAR, STUDENTS LEARNED FROM VISITING GUEST ARTISTS, INCLUDING ESTABLISHED AND MID-CAREER ARTISTS AND PROFESSIONALS ACROSS A VARIETY OF CREATIVE FIELDS. ALUMNI ENGAGEMENT WAS STRENGTHENED IN 2024 THROUGH THE SPRING CREATIVE CAREERS PROGRAM, WHICH INCLUDED 17 VIRTUAL AND IN-PERSON EVENTS HELD OVER THE COURSE OF A MONTH. WE DEEPENED RELATIONSHIPS WITH ALUMNI WORKING IN THE CREATIVE WORKFORCE, ADDING A NEW LAYER TO OUR CAREER SERVICES AS THEY SERVED AS ROLE MODELS AND SHARED THEIR PROFESSIONAL EXPERIENCES WITH THE NEXT GENERATION OF RYMAN ARTS STUDENTS. SESSION TOPICS RANGED FROM BALANCING A FREELANCE CAREER, TO THEME PARK DESIGN AND ENTERTAINMENT LICENSING. THE TOTAL ATTENDANCE ACROSS ALL EVENTS WAS 491, INCLUDING STUDENTS, ALUMNI, FAMILIES AND COMMUNITY MEMBERS.COMMUNITY ENGAGEMENT EFFORTS CONTINUED BOTH IN-PERSON AND VIRTUALLY IN 2024. LEVERAGING OUR STRONG RELATIONSHIPS WITH EDUCATORS, COMMUNITY LEADERS, AND HIGH SCHOOLS IN LOW-INCOME AREAS, RYMAN ARTS EXPANDED APPLICATION GUIDANCE AND PROGRAM ACCESS TO MORE UNDERSERVED YOUTH AND NEW COMMUNITIES. ACTIVITIES INCLUDED VIRTUAL INFORMATION SESSIONS IN ENGLISH AND SPANISH FOR STUDENTS AND FAMILIES, AS WELL AS PARTICIPATION IN VARIOUS VIRTUAL COMMUNITY EVENTS. WE ALSO CONTINUED OUR MULTI-YEAR PARTNERSHIP WITH THE SANTA ANA UNIFIED SCHOOL DISTRICT (SAUSD), OFFERING FREE PRESENTATIONS, ON-SITE DRAWING WORKSHOP, TEACHER PROFESSIONAL DEVELOPMENT, AND CAMPUS VISITS TO CAL STATE FULLERTON, WITH THE GOAL OF CREATING A PIPELINE OF STUDENTS FROM SAUSD SCHOOLS TO THE RYMAN ARTS PROGRAM. OUR COMBINED COMMUNITY ENGAGEMENT PROGRAMMING REACHED A TOTAL OF 1,089 PEOPLE IN 2024. DESPITE A CHALLENGING YEARMARKED BY THE ABSENCE OF AN EXECUTIVE DIRECTOR DURING THE FIRST PART OF THE YEAR, OUR DIRECTOR OF EDUCATION TAKING A LEAVE OF ABSENCE, AND THE POTENTIAL LOSS OF OUR CAL STATE FULLERTON CAMPUSRYMAN ARTS REMAINED STRONG. THE DECISION BY CAL STATE FULLERTON WAS SUCCESSFULLY REVERSED THROUGH COMMUNITY AND PROFESSIONAL ADVOCACY EFFORTS, AND THE PROGRAM HAS BEEN RENEWED UNDER A NEW THREE-YEAR AGREEMENT, WITH HOPE OF CONTINUING THE PARTNERSHIP WELL INTO THE FUTURE.
