Governance Explanations

Form 990, Part VI, Section B, Line 11B

The board of directors receives a copy of the form 990 before it is filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Board members sign a conflict of interest disclosure form every year. The audit committee, assigned by the board of directors, investigates possible damaging conflicts if any.

Form 990, Part VI, Section B, Line 15A

The board only conducts a compensation review/approval process for the ceo. The process is that the board must conduct an annual performance evaluation and must approve the compensation. Both the fact that the review took place and the approval (and amount) of compensation must be approved by the full board and reflected in the minutes.

Form 990, Part VI, Section C, Line 19

All governing documents, policies and financial statements are located at the organization's administration office. All major grantors are given a copy of the financial statements and supplementary information and the independent auditor's report. Any request from the public regarding our form 990 or financial statements are referred to the administration office where the requestor is given the option to view the form 990 on the guide star website or review the document at our office.

Investments reported on part x, line 12 include the organization's beneficial interest in an endowment fund held by a community foundation, recorded at fair value based on underlying pooled investments.

Financial Statement Notes

PART V, LINE 4:

The funds held by community action marin are inteded to support the long-term goals of the organization.

PART X, LINE 2:

The agency is required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the financial statements. The agency has determined there are no amounts to record as assets or liabilities related to uncertain tax positions.
