Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents

AAED Bylaw RevisionsFY 2015-16Article III Membership: Revisions are for clarifying eligibility for membership to allow for both organization and individual memberships. Allows for the exchange of representation for an organization without incurring an application fee, and clarifies that dues paid to the association are not refundable. Article IV Board and Executive Committee: Section 2: updated qualifications now requiring two years of membership and one year of active participation on a committee. Section 3: Metro & Rural redefined, representation shift; officers are board members; appointed of Advisory Directors reduced; and elimination of dual representation from a company or organization. Article V Officers: Revisions clarify the role of each office, creates oversight at the Officer level of Association pillars. Section 7: Officer succession policy; exclusion of Secretary/Treasurer from automatic succession.Article VI Meetings: Create flexibility for membership meetingsArticle VII: Finances: Section 4: Finance Committee formally established to guide Association budgetary process. Section 5: Establishing an Operating Reserve Policy. Article VII Committees: Section 2: Provides responsibility of current chair to recommend next chair. Section 3: Responsibility of committee chair to recommend vice chair. Article IX Amendments: Section 1: Option to have bylaws and articles of incorporation changes approved by a super majority of the Board Article XII Lobbying: Remove from the bylaws as our 501(c)(6) status already allows us to engage in this activity.

IRS990/Desc0Provided and implement the third year update to the five year strategic plan. The plan reinforces the Associations focus on the founding pillars of professional education, advocacy and collaboration. Entered into the second year partnership with Council of Development Finance Agencies (CDFA) to provide financial training in Arizona to AAED members at a reduced rate & to allow participation in development of course offerings. Assisted in the planning and promotion of Financing Roundtable and CDFA Annual Conference went so well they returned to Arizona in November 17, 2015 at the Phoenix Convention Center. AAEDs Economic Development Academy of Arizona held 4 classes this year with a total of 195 in attendance. The Academy graduated its fourth class bestowing the designation of AZED PRO on 3 qualifying candidates, thus raising the number of AZED Pros to fifteen. (The Academy layered credits over those who attended the CDFA Roundtable in November.) AAED conducted for the 4th year the AZ Basic Economic Development Course with 67 attendees.Continued a partnership with IEDC to bring CEcD classes to Arizona which includes revenue sharing with AAED. Held the IEDC Marketing/Attraction Course on 3/3-4/16. Partnered with Colorado and New Mexico to bring more courses to the region. Achieved certification from IEDC for AAEDs annual conference and all Academy courses which designates CEcD recertification points for our members attendance. Advocacy efforts and accomplishments included: Creating and distributing AAEDs legislative agenda to state elected officials; Directing the Associations lobbying efforts at the capitol; Holding a Legislative Luncheon with 107 House & Senate members and staff attending;Planned and produced the Spring Conference in Tucson for 197 attendees Created and planned the inaugural Fall Forum September 16-18, 2015 at the El Conquistador Hotel, Oro Valley; 137 attendees, 4 Golden Prospector Awards presented with 8 Awards of Merit. Planning for the 2nd Fall Forum -- September 7-9, 2016 at the Little America Resort, in Flagstaff, AZ. Partnered with Arizona Rural Development Council to moderate two sessions at the Rural Policy Forum in Clarkdale, August 6, 2015 and conduct an ED 101 session on August 7, 2015.Continued a partnership with AZ/RE Magazine to create a separate AAED insert November/December 2015 and be the Media Sponsor of the EDDE Awards May 2016. Planned and conducted 12 monthly luncheons in Phoenix with two having a morning symposium/forum. Averaging about 129 a luncheon. AAED hosted a Retail Symposium in partnership with the International Council of Shopping Centers on January 5, entitled The New Face of Retail (121 attended)Half-day workforce symposium on April 5 entitled: Success by Design: Whats Working in Workforce (148 attended)June 7th hosted a Tribal Economic Symposium with marketing assistance from the American Indian Chamber of Commerce of Arizona (117 attended) Planned and conducted 6 luncheons in Southern Arizona; averaging 50 a luncheon.Planned and conducted 3 Northern Arizona activities: Northern Arizona Economic Development Regional Symposium on October 16 (44 attended) Western AZ Mayoral Economic Dev. Update on February 18 (60 attended) Northern Arizona Mayoral Economic Update on June 28 (sold out 71 attendeePlanned and conducted a Central/Eastern AZ Roundtable on April 20, 2016 in Payson, AZ with the Rural Committee (80 attendees) 11 electronic newsletters called The Voice were distributed. Planned and conducted the first Cornhole fundraiser to replace the annual golf tournament held February 19, 2016 with 61 participants; raising over $8,632. AAED had a seamless relocation of its headquarters on March 18, 2016 to 2700 N. Central, Suite 1250, Phoenix, AZ. This move increased the office space by 338 s.f. to a total of 2,148 s.f. allowing for a larger board room. Our rent was reduced by $3.5/s.f.
