Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed and approved by the audit committee of the board and sent to all board members for disclosure.

Form 990, Part VI, Section B, Line 12C

The board reviews this policy at least once every two years. All board members and senior managers are asked to fill out an annual conflict of interest questionnaire/disclosure.

Form 990, Part VI, Section B, Line 15

As part of the determination of the compensation of the ceo and top management officials, a compensation study (or survey) was performed. The governance, nominating and human resource committee reviews and approves the salaries for the ceo and top management officials. They are then included in the annual budget which is reviewed and approved by the audit committee and ratified by the board. Contemporaneous substantiation of the deliberation and decisions are documented.

Form 990, Part VI, Section C, Line 19

The governing documents are available upon request. The conflict of interest policy and financial statements are available on the website of thp.
