Mission

Good Shepherd Gracenter (Gracenter) helps women without resources break free from drug and alcohol addiction. By providing long-term transitional housing with an individualized 12-Step recovery plan, we offer each woman the opportunity to live a healthy and meaningful life. Gracenters approach is both comprehensive and preventative, providing a clean and sober residence, weekly counseling and mentoring meetings, three healthy meals each day, linkages to social and safety net services, higher education and internships, job readiness and employment opportunities, skill-building classes and workshops, and a community of support to help women achieve independent and sober living. Gracenter clients have an excellent recovery rate due our utilization of best practices in the recovery field which include: a) the 12-Step approach, which is practical and therapeutic; b) Restorative Justice practices of accepting responsibility for one's actions, repairing the harm through apology, restitution,

Corporate members of the Congregation of Our Lady of the Charity of the Good Shepard, Province of Mid-North America have the power to elect the organization's Board of Directors.

Corporate members have the authority to:-Determine and maintain the philosophy and the mission of the organization;-To elect or remove officers and directors of the organization;-To amend, modify or repeal the articles of incorporation and the bylaws;-To acquire, purchase, sell, lease, transfer or encomber the real property of the organization;- To construct or demolish buildings owned by the organization;- To terminate, merge, consolidate, affiliate, divide, or separate programs from this organization and/or merge, consolidate, or affiliate this organization or any of its programs with any other organization;- To dissolve the organization and determine the distribution of the organization's assets upon dissolution;- To approve any borrowing or other financial obligation not contained in the capital or operating budget;- To grant prior approval to any increment or addition to the capital debt and/or to renegotiate, modify, or otherwise change the existing capital debt obligation of this organization;- To require a certified audit or review of the organization's funds at any time and to appoint the fiscal auditor annually;- To appoint or remove the CEO of the organiation; and- To establish endowment funds or restricted funds, to terminate or modify the terms of such funds, to cause assets of the organization to be deposited in such funds,and to make or cause to be made withdrawals from such funds.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Annual Statements. Each director, principal officer and member of a committee with board of directors delegated powers shall annually sign a statement which affirms each person and received a copy of the conflict of interest policy, has read and understands the policy and has agreed to comply with the policy and understand Good Shepherd Gracenter is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Periodic Reviews. To ensure Good Shepherd Gracenter operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the follow subjects: whether compensation arrangements and benefits are reasonable, based on competent survey information and the result of arms length bargaining; whether partnerships, joint ventures and arrangements with management organizations conform to Good Shepherd Gracenter written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impressible private benefit or in an excess benefit transaction.

The Board reviewed comparable salaries for top management officials at similar not-for-profit organizations in the Bay Area in determining Sr. Marguerite's annual raise. Also, the Board reviewed Sr. Marguerite's annual performance review to determine the appropriate salary adjustment.

IRS990/Desc0Gracenter is solely focused on one program, helping women without resources break free from drug and alcohol addiction through a holistic recovery program that includes up to two years of transitional housing. Gracenters has helped more than 800 women in their recovery from drug and alcohol addiction since its inception. The statistics below capture the enormous impact Gracenter has on the women it serves:From January 1, 2015 December 18, 2015, Gracenter served 24 homeless women seeking long-term recovery from drug and alcohol addiction. Six program objectives for each women were measured at program entry and at exit. The long-term outcomes of women who went through the program 1 year ago and 3 years ago were also measured. The outcomes are as follows: Upon exit:92% were in long-term recovery (0% at entry)78% moved into stable housing (0% at entry)100% had a primary healthcare provider (76% at entry)93% had stable income (70% at entry)0% were involved in the criminal justice system (52% at entry)64% had enrolled in higher education (0% at entry) 1 year after exit:94% were in recovery98% were in stable housing96% had a primary healthcare provider98% had stable income 2% were involved in the criminal justice system31% were enrolled in higher education 3 years after exit:82% were in recovery91% were in stable housing95% had a primary healthcare provider95% had stable income 9% were involved in the criminal justice system18% were enrolled in higher education Good Shepherd Gracenter also has a positive impact on the community. The vast majority of participants exit the program financially self-sufficient, reducing the economic strain that would result if these women continued to rely on public assistance. In addition, many women continue to volunteer within the community after leaving Gracenter.

By providing long-term transitional housing with an individualized 12-Step recovery plan, we offer each woman the opportunity to live a healthy and meaningful life. Gracenters approach is both comprehensive and preventative, providing a clean and sober residence, weekly counseling and mentoring meetings, three healthy meals each day, linkages to social and safety net services, higher education and internships, job readiness and employment opportunities, skill-building classes and workshops, and a community of support to help women achieve independent and sober living.
