The organization has one (1) class of voting members, referred to as "councilors" who are the "members" within the meaning of the california nonprofit corporation law. The organization refers to donors/financial supporters as "members" even though those persons are not entitled to vote and are not "members" as defined in state law.

The league has 60 members who comprise the board of councillors. The council has the power to elect the directors, i.e., the members of the governing body (the board of directors).

Prior to filing the return, the 990 is reviewed in detail by the league's chief operating officer/chief financial officer, controller, general counsel and ceo/president. The board receives a copy of the return for review before the league files the return. The board of directors reviews the financial reports quarterly, the finance committee reviews the financial statements bi-annually, the audit committee reviews the independent audit process and the annual financial statements and the president and chief executive officer, chief operating officer/chief financial officer, and the rest of the senior team reviews the financial statements and variances from budget on a monthly basis.

EXPLANATION: ACCOUNTING FOR CONSERVATION EASEMENTS EASEMENTS ARE WRITTEN DOWN TO ZERO AT THE TIME THAT THEY ARE ACQUIRED AND THE VALUE OF THE WRITE DOWN IS CLEARLY DEMARCATED AS "CONSERVATION EASEMENT AQUISITION" IN THE LAND TRANSACTIONS AND CONSERVATION EASEMENTS SECTION OF THE STATEMENT OF ACTIVITIES AND CHANGES IN NET ASSETS. IF THE EASEMENT IS DONATED, THEN THE APPRAISED VALUE OF THE EASEMENT WILL BE TREATED AS REVENUE AND THE CORRESpONDING AMOUNT as an EXPENSE. THE EASEMENTS DO NOT APPEAR ON THE STATEMENT OF FINANCIAL POSITION AS THEY ARE VALUED AT ZERO. Below, please see the text of the footnote contained in the League's Annual Financial Statements: Conservation Easement Policy: Conservation easements are expensed as a program expense in the period they are purchased or donated to the League. Sales of conservation easements on real estate held by the League to public agencies are recorded as a decrease in the basis of the real estate held in the statement of financial position. For the year ended March 31, 2017, the League purchased one conservation easement for $325,000, financed by a state grant of $325,000. The League also sold an easement with a fair value of $6,104,500 against real estate held with a net book value of $11,245,000 for approximately $6 million resulting in a donated easement expense of $104,500. For the year ended March 31, 2016, there were no conservation easements purchased or sold. The League did not receive donated conservation easements for the years ended March 31, 2017 and 2016. SYNOPSIS OF THE WRITTEN POLICIES REGARDING HOW THE ORGANIZATION MONITORS, INSPECTS, RESPONDS TO VIOLATIONS AND ENFORCES CONSERVATION EASEMENTS. SAVE THE REDWOODS LEAGUE ("LEAGUE") HAS ADOPTED AND FOLLOWS COMPREHENSIVE POLICIES AND PROCEDURES FOR THE STEWARDSHIP OF ALL ITS CONSERVATION EASEMENTS, THOSE WHICH IT HOLDS AS THE "GRANTEE AND ALSO THOSE FOR WHICH IT RETAINS SECONDARY OR RESIDUAL ENFORCEMENT RIGHTS. THESE POLICIES AND PROCEDURES PROVIDE FOR ANNUAL ON-SITE MONITORING/INSPECTION OF THE PROPERTIES COVERED BY CONSERVATION EASEMENTS. PRIOR TO THE MONITORING VISIT, THE MONITOR REVIEWS THE TERMS AND CONDITIONS OF THE EASEMENT, PHOTOS, MAPS & SURVEYS, APPLICABLE BASELINE REPORT, AND PREVIOUS MONITORING REPORTS ALONG WITH RELEVANT CORRESPONDENCE RELATING TO THE CONSERVATION EASEMENT. THE POLICIES AND PROCEDURES ALSO INCLUDE PROVISIONS FOR PREPARATION AND RETENTION OF REPORTS OF ALL MONITORING VISITS, DOCUMENTATION OF COMMUNICATIONS WITH LANDOWNERS, PROCEDURES RELATING TO ENFORCEMENT OF THE CONSERVATION EASEMENT AND PROCEDURES FOR THE HANDLING OF LANDOWNER INQUIRIES AND REQUESTS RELATING TO THE CONSERVATION EASEMENT. IT IS THE POLICY AND ESTABLISHED PRACTICE OF THE LEAGUE TO INCLUDE PROVISIONS IN ALL OF ITS CONSERVATION EASEMENTS THAT ALLOW THE LEAGUE TO CONDUCT ANNUAL (OR MORE FREQUENT) MONITORING AND TO AUTHORIZE THE LEAGUE TO BRING ENFORCEMENT ACTIONS, IF NECESSARY, TO PREVENT VIOLATIONS OF THE CONSERVATION EASEMENT AND TO RESTORE THE PROPERTY TO THE CONDITION THAT EXISTED PRIOR TO A VIOLATION.

Part V, Line 4:

The League intends to grow the endowment by the receipt of new gifts and investment return, and expects its endowment funds, over time, to provide an average rate of return of approximately 7% annually. The Board will review its spending policy on a periodic basis to determine when it would be prudent to revise the current spending policy.

Our 870-acre Stewarts Point property is now permanently protected from subdivision and extensive logging after we transferred a conservation easement to protect 700 acres of its second-growth redwood forestland, coastal grasslands and a 1.7-mile stretch of the Gualala River. Our purchase of the Twin Trees conservation easement protects more than 255 acres of redwood forestland and river habitat adjacent to Richardson Grove State Park. The League also purchased the 77-acre Westfall Ranch to buffer and enhance public access to the neighboring ancient redwoods in Headwaters Forest Reserve.

In addition to nearly half of the world's old-growth redwoods, Redwood National and State Parks includes 80,000 acres of young forest that were heavily harvested before the park was established. We are launching a new initiative to increase the pace and scale of restoration that will put these redwood forests on an accelerated path to old-growth form and function through selective thinning of smaller trees, removal of old logging roads, and restoration of watersheds. This effort includes actions to restore meadows and riparian woodlands on our Orick Mill Site property for elk and imperiled salmon.

The second year of our Green Friday event provided 35,000 people with free day-use at 116 state parks. We also produced and distributed throughout California our inaugural Discover California Redwood Parks brochure, featuring 93 local, state and national parks. Two new free booklets teach children about the plants, animals and people of the coast redwood and giant sequoia forest, from past to present. Our education grants and programs supported free field trips for more than 7,300 students, who learned about topics from ecology to restoration.
