Mission

Coos Watersheds activities are to coordinate, implement, and monitor proven management practices, and to test new management practices that are designed to support environmental integrity and economic stability for all communities of the Coos watershed.

The mission of the coos watershed association is to support environmental integrity and economic stability within the coos watershed by increasing community capacity to develop, test, promote, and implement management practices in the interests of watershed health.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board of directors has an executive committee consisting of the officers of the board of directors with the purpose to support the executive director, and liaison between the board of directors and executive director. The executive committee also is responsible for ensuring that the board of directors is effectively performing its oversight duties for the organization. The committee examines how the board is functioning on an ongoing basis, identifies areas of opportunity, and makes recommendations for improvements to the full board. The committee also monitors whether the board is complying with its obligations as set forth in the articles of incorporation and bylaws. Committee duties: a. Coordinate with the executive director to develop plans and ensure the activities of the association are consistent with its strategic plan. B. Review the quarterly financial statements. C. Annually, and at other times as needed, facilitate the performance review of the executive director, integrating feedback from the full board of directors. D. Support the executive director by providing immediate feedback and decisions on behalf of the board of directors when there is insufficient time to notify and meet as a whole. E. Set agendas for board of directors meetings. F.facilitate annual officer elections. G. Plan annual board retreat. H. Evaluate board effectiveness and work with the board of directors on improvement plans. I. Recommend ongoing training and development for board members. J. Oversee recruitment of new board members as needed to increase board effectiveness. K. Develop bylaw amendment proposals as necessary or requested (by a board member or executive director) and bring to full board of directors for consideration. L. Manage the removal process of a board member if necessary. M. Report all activities to board of directors. Regardless of the above, the executive committee does not have the authority to: a. Elect, appoint or remove any officer, board member, or executive committee member; b. Authorize the sale, lease, exchange or mortgage of all or substantially all of the organization's property and assets; c. Authorize the organization's dissolution or revoke proceedings therefore; d. Amend, alter or repeal the articles of incorporation, bylaws or any resolution of the board of directors; or e. Authorize the payment of a dividend or any part of the organization's income or profifts to its directors, officers or any other person or entity.

Form 990, Part VI, Section A, Line 4

The bylaws were amended in may 2024 and november 2024 to: 1. Decrease the minimum number of board members from 12 to 9; and 2. Remove the governance committee as a standing committee of the board of directors.

Prior to filing, the form 990 was reviewed by the financial manager and by the executive director, then it was reviewed and approved by the board of directors.

The conflict of interest statements are completed by board members and returned to the office manager. Potential conflicts of interest are disclosed to the president who brings them, if material, to the executive committee. The decision to authorize a transaction with potential conflict of interest is at the discretion of the executive committee.

In 2023, the organization contracted to conduct a wage/salary review and a compensation assessment for each staff position in the organization, including the executive director. The executive committee is responsible for the review of the executive director's compensation and makes a recommendation to the board of directors.

The responsibility and process for selecting the financial statement auditor and for overseeing the financial statement audit did not change during the year.

Financial Statement Notes

PART X, LINE 2:

The association is a tax-exempt organization under section 501(c)(3) of the internal revenue code (irc). In addition, the association qualifies for the charitable contribution deduction under irc section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under irc section 509(a)(2). The association is exempt for state of oregon income tax purposes. Therefore, no provision for income taxes has been made in the accompanying financial statements, as there are no activities subject to unrelated business income tax. The association is required to evaluate tax positions taken and to recognize a tax liability if an uncertain tax position has been taken that more likely than not would not be sustained upon examination by taxing authorities. Areas that taxing authorities consider when examining tax returns for tax exempt entities include, but are not limited to, tax-exempt status and the existence of unrelated business income. The association does not believe that it has any uncertain tax positions with respect to these or other matters and has not recorded any recognized tax benefits or liabilities for the years ended december 31, 2024 and 2023. The association's tax returns are subject to possible examination by the taxing authorities until the expiration of the related statutes of limitations on those tax returns. In general, the returns have three-year statutes of limitations. The association believes it is no longer subject to income tax examinations for any year prior to 2021.

THIS INCLUDES PLANTING NATIVE TREES AND SHRUBS, INSTALLING FENCING TO PROTECT SENSITIVE AREAS, AND CREATING OFF-CHANNEL WATERING SOURCES FOR LIVESTOCK. THESE PRACTICES REDUCE SEDIMENTATION AND WATER TEMPERATURES, BENEFITING THE ENTIRE ECOSYSTEM.A KEY PART OF RIPARIAN RESTORATION IS ADDRESSING THE SPREAD OF INVASIVE SPECIES. ACROSS THE COOS WATERSHED, WE TRACK KEY INDICATORS OF WATERSHED HEALTHINCLUDING STREAM FLOW, WATER QUALITY, HABITAT CONDITIONS, AND FISH ABUNDANCE AND MIGRATION. THIS DATA HELPS US EVALUATE THE IMPACT OF OUR WORK AND IDENTIFY PRIORITIES FOR FUTURE RESTORATION.OUR MONITORING PROGRAM PLAYS A VITAL ROLE IN ASSESSING THE STATUS AND TRENDS OF COHO SALMON POPULATIONS, AS WELL AS TRACKING WATER QUALITY AND HYDROLOGY THROUGHOUT COOS BASIN STREAMS. IN ADDITION TO LONG-TERM ECOLOGICAL MONITORING, WE ALSO CONDUCT IMPLEMENTATION AND EFFECTIVENESS MONITORING FOR OUR IN-STREAM AND RIPARIAN RESTORATION PROJECTS. THIS ENSURES THAT OUR PROJECTS NOT ONLY MEET THEIR IMMEDIATE GOALS BUT ALSO SUPPORT LASTING IMPROVEMENTS IN WATERSHED HEALTH.

THESE PROGRAMS FOSTER ENVIRONMENTAL STEWARDSHIP, CONNECT INDIVIDUALS TO LOCAL RESOURCES, AND EMPHASIZE THE SHARED RESPONSIBILITY WE ALL HAVE IN CARING FOR OUR WATERSHED.OUR YOUTH ENGAGEMENT EFFORTS INCLUDE PARTNERSHIPS WITH ALL THREE LOCAL HIGH SCHOOLS, WHERE STUDENTS LEARN PRACTICAL RESTORATION SKILLS WHILE IMPROVING THE ECOLOGICAL HEALTH OF THEIR SCHOOL CAMPUSES. COOS WATERSHED ASSOCIATION'S SUMMER YOUTH PROGRAM PROVIDES STUDENTS THE OPPORTUNITY TO WORK ON MEANINGFUL, COMMUNITY-BASED PROJECTS WHILE BUILDING JOB SKILLS AND PROVIDING PAID WORK EXPERIENCE. WE OFFER A UNIQUE SUMMER OF ENVIRONMENTAL RESTORATION, JOB READINESS, AND OUTDOOR ADVENTURE. STUDENTS GAIN HANDS-ON EXPERIENCE, CONTRIBUTE TO REAL CONSERVATION EFFORTS, AND GROW THEIR CONNECTION TO THE ENVIRONMENT AND THEIR COMMUNITY. THIS IS ALL PART OF OUR EFFORTS TO SUPPORT NATURAL RESOURCE CAREER DEVELOPMENT SO THAT THERE WILL BE PASSIONATE, KNOWLEDGEABLE PROFESSIONALS TO MAINTAIN AND PROGRESS THE HEALTH OF THE COOS WATERSHED IN THE FUTURE. WE DO THIS THROUGH TEACHING YOUNG PEOPLE JOB SKILLS IN OUR YOUTH ENGAGEMENT PROGRAMS, HOSTING INTERNS IN OUR MONITORING PROGRAM, AND SUPPORTING CAREER GROWTH AND MENTORSHIP THROUGH OUR STAFFING STRUCTURE. THROUGHOUT THE YEAR, WE PARTICIPATE IN LOCAL FESTIVALS AND FARMERS' MARKETS TO SHARE WATERSHED KNOWLEDGE, CONNECT WITH COMMUNITY MEMBERS, AND BUILD MOMENTUM FOR COLLECTIVE ACTION. WE ALSO HOST THE ANNUAL MAYFLY FESTIVAL, A FAMILY-FRIENDLY EVENT THAT BRINGS THE WATERSHED TO LIFE THROUGH GAMES, EDUCATIONAL ACTIVITIES, AND INTERACTIVE LEARNING EXPERIENCES. IN MEMORY OF TEDDY VILLERS (2004-2015), A PASSIONATE YOUNG STEWARD WHO TRAGICALLY PASSED AWAY WHILE WORKING ON A SALMON HABITAT PROJECT, THE VILLERS FAMILY AND THE COOS WATERSHED ASSOCIATION OFFER THE TEDDY VILLERS NATURAL RESOURCES SCHOLARSHIP. AWARDED ANNUALLY TO A LOCAL HIGH SCHOOL, HOME-SCHOOL, OR COMMUNITY COLLEGE STUDENT PURSUING A CAREER IN NATURAL RESOURCES, THE SCHOLARSHIP HONORS TEDDY'S LEGACY AND INSPIRES FUTURE GENERATIONS TO FOLLOW IN HIS FOOTSTEPS, MAKING A LASTING IMPACT ON THE ENVIRONMENT.
