Governance Explanations

Form 990, Part VI, Section B, line 11

Clark Nuber, an independent accounting firm, prepares the Form 990. The Finance and Audit Committee of the Alliance reviews the Form 990 and it is also emailed to all board members before it is filed with the IRS.

Form 990, Part VI, Section B, line 12C

Board members review and affirm the conflict of interest policy on an annual basis. Each member is required to disclose any actual or possible conflict of interest and to present all material facts to the board or Executive Committee. After such a disclosure, the interested person shall leave the board or executive committee meeting. The remaining members shall discuss and vote whether a conflict of interest exists. If a conflict is determined to exist, the interested person may make a presentation at the board or Executive Committee meeting, but shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the conflict of interest. The chairperson of the board or Executive Committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement and after exercising due diligence, a determination shall be made by a majority vote of the disinterested directors on whether the transaction or arrangement is in the best interests of the alliance. Meeting minutes will record the names of persons who made disclosures or who were found to have actual or possible conflicts of interest, the nature of the financial interest, any action taken to determine the presence of a conflict of interest and the board or Executive Committee's decisions.

CEO/President: The Governance Committee of the Board of Directors is responsible for establishing goals and objectives relevant to the CEO/President's compensation and performance each year and for evaluating the CEO/President's performance annually in light of these goals and objectives. The Governance Committee utilizes the expertise of the Director of People programs at the greater Seattle Metropolitan Chamber of Commerce when determining compensation. The CFO: The CEO/President is responsible for establishing goals and objectives relevant to compensation and performance for this position. Performance and compensation are reviewed annually. The CEO/President utilizes the expertise of the Director of People programs at the greater Seattle Metropolitan Chamber of Commerce when determining compensation for these positions. Compensation reviews are done on an annual basis with the last review on April, 2016.

IRS990/Desc0Educational Investment are organized into two areas designed to support student achievement at Seattle Public Schools (SPS):Strategic Work improves academic outcomes across SPS with a focus on eliminating the achievement gap that affects many low income students of color and other under-served student groups. Seattle Teacher Residency and Support for SPS' HR Redesign are examples of this work. Spirit Work includes the events we sponsor to support, celebrate and raise awareness about the achievements of students, teachers and principals in SPS. (See Section O for further details.)STRATEGIC WORK - ContinuedSince 2008, the Alliance has leveraged over $10 million to help implement the school district's strategic plans. In 2015, the Alliance's strategic work included:Seattle Teacher Residency: The Seattle Teacher Residency (STR) is modeled after medical residency model and is addressing the significant need for intensive, culturally-based training that prepares emerging educators for the rigors of improving student achievement in chronically under-performing urban schools. STR places Residents in low income, high-diversity schools for a year-long practicum under the close guidance of carefully chosen, highly qualified Mentor-teachers. At the same time, Residents are enrolled in an intensive UW College of Education master's degree program which fully integrates the classroom experience into the coursework. This intensive 14-month program to prepare teachers for high-need schools was launched in 2013 and has just finished training its third cohort of residents. A number of program milestones have been reached in the last year. - There are now 72 STR-trained educators teaching students in 29 high-need Seattle schools plus 23 Cohort 4 residents who began their year-long apprenticeships in June 2016. - 100% of the 28 Cohort 2 graduates (class of 2015) who completed their first year of teaching in June 2016 have returned to the same schools; this compares to just 82% of their peers.- 90% of the Cohort 1 graduates who graduated in June, 2014 are beginning their third year of teaching at the same high-need schools where they began their careers; this compares to the national 3-year retention rate of just 55% and an estimated local rate in the 70% range.- Toward the goal of creating a teaching force that is reflective of the district's student diversity (58%), 42% of the STR graduates now teaching in SPS are teachers of color (compared to just 20% of other SPS teachers)- Principals of STR graduates continue to report in anonymous independent surveys that STR-trained teachers are better prepared than other new teachers.Support for SPS' HR Department Redesign: The Alliance in partnership with local philanthropies supports the district's participation in the Urban Schools Human Capital Academy (USHCA). Through the academy's intensive 3-year program, SPS is learning to transform its HR department from focusing on mere transactional work to alignment with the goals of the SPS strategic plan. The objective is to become a high-functioning hub for talent recruitment and management to support principals' efforts to improve teaching and learning in schools. As a result so far, the 2014-15 teacher hiring schedule was accelerated by a full month and processes for hiring teachers and principals were improved with new mock-classroom exercises, competency definitions and innovative efficiencies. SPIRIT WORKSpirit Work in 2015 included:- Movin' On Up: An annual evening reception celebrating the principals and staff from schools that have moved up a level in the academic performance rankings or those that are at a level 5 (the highest rating given). - Foster Award: An event to award the winner of the Thomas B. Foster Award for Excellence given to an exceptional Principal with $50,000 to use in their school.- Alliance for Education Community Breakfast: A community event celebrating SPS accomplishments and raising funds for our work on behalf of Seattle Publi
