Governance Explanations

Form 990, Part VI, Section B, line 11

The 990 is presented for review by Clark Nuber, the 990 preparers, to the Finance and Audit Committee for its review. It is also emailed to all board members before it is filed with the IRS.

Form 990, Part VI, Section B, line 12C

Board members review and affirm the conflict of interest policy on an annual basis. Each member is required to disclose any actual or possible conflict of interest and to present all material facts to the board or Executive Committee. After such a disclosure, the interested person shall leave the board or executive committee meeting. The remaining members shall discuss and vote whether a conflict of interest exists. If a conflict is determined to exist, the interested person may make a presentation at the board or Executive Committee meeting, but shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the conflict of interest. The chairperson of the board or Executive Committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement and after exercising due diligence, a determination shall be made by a majority vote of the disinterested directors on whether the transaction or arrangement is in the best interests of the alliance. Meeting minutes will record the names of persons who made disclosures or who were found to have actual or possible conflicts of interest, the nature of the financial interest, any action taken to determine the presence of a conflict of interest and the board or Executive Committee's decisions.

Form 990, Part VI, Section B, line 15

CEO and President: The Governance Committee of the Board of Directors is responsible for establishing goals and objectives relevant to the president's compensation and performance each year and for evaluating the president's performance annually in light of these goals and objectives. The Governance Committee utilizes the expertise of the Director of People programs at the greater Seattle Metropolitan Chamber of Commerce when determining compensation. CFO and VP-operations: The CEO is responsible for establishing goals and objectives relevant to compensation and performance for these positions. Performance and compensation are reviewed annually. The CEO utilizes the expertise of the Director of People programs at the greater Seattle Metropolitan Chamber of Commerce when determining compensation for these positions. Compensation reviews are done on an annual basis with the last review on March 15, 2013.

IRS990/Desc0Partnering with Seattle Public Schools (SPS), the Alliance leverages philanthropic educational investments and provides strategic and programmatic support to create systemic impact at all schools across the city during 2013. By leveraging over $10 million since 2008 to help implement the school district's strategic plan (http://bit.ly/1rbhEzF) and holding SPS accountable for performance, the Alliance contributed to the following accomplishments: - Increase in the on-time high school graduation rate from 62% in 2008 to 72% in 2013. - Increase in percentages of low income students who met state standards in math from 35% in 2008 to 53% in 2013. - The percentages of graduates who took a college-level course during high school (AP or IB) increased from 51% in 2008 to 72% by 2013. Overall progress across the range of strategic plan metrics was evidenced by steady school improvement on the district's Performance Segmentation Framework.- The combined percentage of Level 4 and 5 schools (the 2 highest levels) increased from 31% of all schools in 2009 to 52% in 2013.- Meanwhile, the combined percentage of Level 1 and 2 schools (which in almost all cases are schools serving economically depressed areas) decreased from 41% of all schools to just 15%. (See http://goo.gl/ycw2n9)As to the Alliance's own activities and programmatic work in 2013:- We developed a new strategic plan that focuses on development of effective leaders in the city's schools (http://bit.ly/1qZttsa). New areas of focus in the coming years include development of a principal pipeline and a school board institute.- The SEATTLE COLLEGE ACCESS NETWORK, a group of 40 independent service providers facilitated by the Alliance, enrolled over 95% of eligible 8th graders in the state's College Bound scholarship program for low income students.- We launched the first cohort of the SEATTLE TEACHER RESIDENCY in June, 2013. After 14 months of intensive classroom-based training, twenty-one Residents (84%) completed the program, passed their qualifying certification exams, and have been hired by SPS to teach in high-need local schools in the 2014-15 school year. See www.seattleteacherresidency.org for more information.- Our INTENSIVE SCHOOL PARTNERSHIPS project is strengthening school-community partnerships and data-based decision making among leaders of schools and agencies that provide school-based student support services. In 2013, the project worked with SPS' IT department in development of a data tool that generates student performance and need information that can be distributed among qualified service providers subject to strict protocols regarding student privacy. - The OUR SCHOOLS COALITION, led by the Alliance, successfully held the line against concerted attempts to scale back the hard-won 2010 provisions related to inclusion of student achievement factors in teacher evaluations. - In our role with the PHILANTHROPIC PARTNERSHIP FOR PUBLIC EDUCATION (a funders collaborative), the Alliance facilitated and managed grants that are enabling SPS to: - Develop the SPS 2014-18 strategic plan (http://bit.ly/1rbhEzF);- Participate in the first year of a 3-year course of training that will enable the district to redevelop the HR department to improve its support of principals, teaching and learning in the district; and - Conduct an independent assessment of IT and data systems and began plans to improve them.
