“Guided by our attorneys, philanthropy northwest undertook an extensive by-laws review in 2014 to ensure our bylaws were consistent with organizational growth. The by-laws were updated twice in 2014 by vote of the board of directors. Updates were made to our purpose/mission, membership, timing of annual membership meeting, electronic voting, board terms, and officers of the corporation. The position of assistant secretary was created as an officer of the organization, held by the ceo without voting privileges. This position was created to allow the ceo authority to sign certain legal documents necessary for business operations.”

“Members of philanthropy northwest include foundations, corporate giving programs, governments, and individuals whose principal function is making grants in alaska, idaho, montana, oregon, washington, and wyoming. Each member organization or individual member is allowed one vote to elect the organization's board of directors.”

“We are a membership association. Our bylaws call for an annual meeting at which time the members elect the board of directors.”

“Bylaws may be amended or repealed by a vote of two-thirds of all the directors or by a vote of two-thirds of all the members at any meeting.”

“The finance committee, with authority from the board of directors, reviews the form 990 with the finance director during a meeting before it is filed. A full copy of the tax return is distributed to the board prior to filing with the irs.”

“The conflict of interest policy applies to each board member and the ceo. The process for monitoring the conflict of interest policy includes distributing and collecting conflict of interest forms from board members and the ceo at the first board meeting each year. However, should a potential conflict of interest arise, the issue would be brought to the ceo or finance director and then reviewed by the board before a vote or decision was made. If necessary, the individual involved would recuse himself/herself from discussing or voting on the matter.”

“In 2014 a new ceo was hired. The executive committee, with input from the board and search consultants, researched ceo compensation for like organizations. The new ceo will have a compensation review in the first quarter of 2015.”
