“GOVERNING BODY AND MANAGEMENT: The Sierra Harvest Board of Directors amended Sierra Harvest's bylaws at the Feb 28th, 2019 board meeting. The changes are as follows: CHANGE TO Article IV (Committees). Instead of reading "The Committee Chair shall be decided by a majority vote of the directors then in office," the language now reads "The Board President will appoint committee chairs." CHANGE TO Article V (Officers) Section 2 (Election and Term of Office of Officers). The board added language stating "The current president may serve one additional year as immediate past president at either the end of their first or second year terms. If the current President's second board term is up, the Board of Directors may elect to extend the current President's term one additional year." CHANGE TO ARTICLE VIII (Miscellaneous) Section 2 (Contracts, Notes and Checks). Removed the language "All contracts entered into on behalf of this corporation must be authorized by the Board of Directors," and replaced it with the language "The Co-Directors are authorized to enter into contracts for activities that have been approved by the Board as part of budgets or plans. The Board of Directors must authorize any contracts outside of these parameters and all contracts with a financial value greater than $150,000 per year."”

“FORM 990 REVIEW PROCESS: The 990 is reviewed by the Board of Directors prior to submission. The 990 is first submitted to the Finance Committee. The Finance Committee reviews the 990, suggests corrections, and then presents the amended document to the full board. The board then reviews the 990 prior to submission.”

“EXPLANATION OF MONITORING AND ENFORCEMENT OF CONFLICTS: Board members sign our conflict of interest policy when they join the board and it is reviewed by the Co-Directors and then filed.”

“COMPENSATION REVIEW AND APPROVAL PROCESS (CEO & TOP MANAGEMENT AND OFFICERS & EMPLOYEES): Executive Directors prepare a budget based on the Non Profit Resource Center's "Compensation Guide for Northern CA" and the Board approves it. Board uses this guide to set the salaries of the Co-Directors.”

“SIERRA HARVEST VOLUNTEERS: This year, 342 generous volunteers worked over 3,200 hours to help Sierra Harvest educate, inspire and connect Nevada County families to fresh, local, seasonal food. These volunteers built backyard gardens for low income families , taught cooking classes at 24 elementary schools and 4 high schools during Tasting Days, donated their time to help harvest fruit and vegetables that would otherwise go to waste from farms and home orchards and distributed them to those in need. They turned beds, planted starts, harvested, and weeded at our Food Love Educational Farm. They helped our staff produce over ten events that allowed our community to deeply engage in supporting the local food movement. Our board of directors helped create the next 5 year strategic plan and investment policy ensuring the long term success of the organization.”
