“The organization has one class of membership. The primary right and obligation of the members is to elect an effective board of directors.”
“The number of directors, the persons eligible to become directors and the classes of members eligible to elect and/or nominate directors may be amended at any time by a vote of the board of directors or by a vote of the members.”
“Form 990 and related state filings are prepared by an independant cpa. The forms are reviewed and approved by the organization's board of directors before submission to the tax authorities.”
“Members of the board of directors are required annually to sign an affirimation of conflict of interest policy and disclosure form in which they affirm that they have received a oopy of the policy, have read and understood it and have agreed to comply with the policy. They must also describe any relationships in which they have been involved that could contribute to, or consitute a conflict of interest. Monitoring and enforcement of the policy by the baord are set out in article iii.”
“Omsf seeks to bring the best talent to the organization to help us further our mission, regardless of the prospective employee's geographic location. Omsf will determine the appropriate salary range for each position by conducting regular market surveys of comparable roles within a geographic region of interest. We will review and adjust salary ranges annually to ensure they remain competitive and equitable. Our organization will base compensation on the employee's job responsibilities, level of experience, education, and skills required to perform the job. Length of service, age, or any other factor not directly related to the position requirements will not be considered. We will establish salary ranges for each job classification, and will make salary offers within the established range. We will maintain accurate job descriptions for all positions, which will include the essential duties and responsibilities of each role. We will require employees supported by multiple projects or federal funding to maintain accurate and up-to-date time and attendance records, which will be used to verify the hours worked by each employee and appropriate assignment of effort invested in a specific project. For hosted project employees, all salary and wage payments need to be first approved by their appropriate governing body. The salary and wage payment for all employees must be further approved by the executive director or president to ensure equitable compensation across the organization for comparable roles. The salary of the executive director and other officers must be approved by the board of directors. Similar to the guidelines for employees, the total compensation for organization's officers is to be determined by the available budget and compared to compensations for similar roles in other (similar) organizations. Officers employed by omsf are entitled to all benefits offered to other employees, as described above. The total compensation needs to be approved by the majority vote of the board of directors. If an officer is a voting member of the board of directors, he or she will be excluded from voting on the matter of their compensation.”

“Overview: >omsf welcomed three new projects in 2023 - westpa, open rosetta and boston protein modeling and design club. The latter two are focused on community building efforts in the field of biomolecular modeling, while westpa is a software package for constructing and running stochastic molecular simulations using the "weighted ensemble". >the number of staff members and core contributors almost doubled in 2023, indicating a strong growth period. >omsf was awarded an nsf pose grant worth 1.5 m over a 2-year period to help support building an open source ecosystem in molecular sciences, and applied for another on behalf of open rosetta. >omsf received a subaward from the university of colorado boulder on behalf of open force field >federal funding comes with strict administrative and financial requirements, resulting in better documented policies and processes across the organization. >omsf hired our first community manager to help with communication across our projects and externally with our broader community, resulting in the launch of a new blog site, increased engagement on social media, and creation of our internal knowledge base. >omsf successfully organized its first annual symposium in boston (may xx) and successfully gathered more than 80 attendees which included our staff members, industry partners and other members of the molecular modeling community. The list of our hosted projects, their missions and activities is provided below together with our program services and community-oriented efforts. 1.hosted projects openfold consortium openfold is a non-profit ai research and development consortium developing free and open-source software tools for biology and drug discovery. Openfold's mission is to bring the most powerful software ever created - ai systems with the ability to engineer the molecules of life - to everyone. These tools can be used by academics, biotech and pharmaceutical companies, or students learning to create the medicines of tomorrow, to accelerate basic biological research, and bring new cures to market that would be impossible to discover without ai. This project aims to: ?collaboratively develop a permissively licensed model competitive with the performance of state-of-the-art models. ?provide the entire training & inference stack and training datasets under the same permissive license ?optimize the performance of this model for use on state-of-the-art and widely available gpus. In 2023, openfold had 10 industry members. The list of current openfold members, links to software repositories and latest news about their activities can be found on their website (https://openfold.io). Open force field consortium the open force field consortium is a network of academic and industry researchers working together to advance science and infrastructure required for building the next generation of small molecule and biomolecular force fields. The shared goal of these researchers is to develop automated and systematic data-driven techniques to parameterize and assess new generations of more accurate force fields. Software and data are released under open licensing agreements to enable rapid application, validation, extension and any kind of modification by our users and contributors. In addition, the initiative aims to build and support a strong community of users and contributors from industry and academia. Open force field is becoming one of the most widely used and deployed public force fields, and getting integrated into a number of vendors' infrastructure. It's also broadly used in public benchmarking of various kinds, and its datasets are used and reused across the field to test and improve force fields and in applications projects. Open force field had 14 industry members in 2023. AT THE MOMENT, OMSF DOESN'T RUN A COMPETITIVE APPLICATION PROCESS -- THE FUNDING GOES EITHER TO THE CONTRIBUTING ACADEMIC LABS OR OTHER RESEARCH GROUPS WORKING ON THE PROBLEMS RELEVANT TO THE HOSTED PROJECT GOALS IN AGREEMENT WITH OUR GRANT-GIVING POLICY. THE CONSORTIUM GOVERNING BOARD APPROVES THE SCOPE OF WORK AND FUNDING AMOUNT FOR THE RECIPIENT RESEARCH LAB. OMSF ENTERS INTO AN AGREEMENT WITH THE RECIPIENT'S INSTITUTION SPECIFYING THE AMOUNT OF FUNDING, ALLOWABLE EXPENSES, AND REPORTING REQUIREMENTS, AS WELL AS THE REQUIREMENT TO RELEASE ALL ARTIFACTS FROM FUNDED WORK UNDER PERMISSIVE LICENSES. GRANTEES ARE REQUIRED TO FILE AN ANNUAL AND/OR FINAL REPORT AT THE END OF THE FUNDING PERIOD, BUT OFTEN THEY ALSO PROVIDE FREQUENT INFORMAL REPORTS TO THE GOVERNING BOARD OR BY PARTICIPATING IN THE HOSTED PROJECT MEETINGS. |
